Common use of Background Verification Clause in Contracts

Background Verification. The Company has requested from an independent reviewer a complete background report with respect to Executive. If the Board, in its sole discretion, is not satisfied with the contents of the background report, the Company may within a reasonable amount of time following receipt of such background report terminate the Employment Term and, notwithstanding anything to the contrary set forth herein, Executive shall not be entitled to (i) any payments hereunder other than the Accrued Obligations and (ii) the Options shall immediately terminate and be of no further force and effect.

If the Board, in its sole discretion, is not satisfied with the contents of the chooses to have such background reportreport updated, the Company may within a reasonable amount of time following receipt of such updated background report terminate the Employment Term and, notwithstanding anything to the contrary set forth herein, Executive shall not be entitled to (i) any payments hereunder other than the Accrued Obligations and (ii) the Options shall immediately terminate and be of no further force and effect.
