Knowledge of Target definition

Knowledge of Target means with respect to a particular fact or other matter, the actual knowledge of Xxxxxx X. Xxxxxx, III, Xxxxxx X. Xxxxxx or Xxxxxx X. Xxxxx, XX of such fact or matter, after reasonable inquiry.

Knowledge of Target and words of similar import shall mean all facts known by those officers or directors of Target or Target Subsidiaries set forth in Section 8.7(p) of the Target Disclosure Letter after due inquiry and diligence with respect to the matters at hand.

Knowledge of Target. “Target’s knowledge” and similar references refer to the actual knowledge of any member of Target’s board of directors and Executive Officers and the knowledge that any such individual would have possessed had they made reasonable inquiry with respect to the matter in question.

Examples of Knowledge of Target in a sentence

• No proceedings have been instituted, or are pending or to the Knowledge of Target threatened, which challenge the rights of any Target Entity with respect to Intellectual Property used, sold or licensed by such Target Entity in the course of its business, nor has any person claimed or alleged any rights to such Intellectual Property.

• Target or its Subsidiaries and, to the Knowledge of Target, the counterparties to all such Derivative Transactions, have duly performed, in all material respects, their obligations thereunder to the extent that such obligations to perform have accrued.

Xxxx, Vice President and Xxxxx Porciaux, Land Coordinator.

Knowledge of Target means with respect to a particular fact or other matter, the actual knowledge, after reasonable inquiry, of such fact or matter on the part of Robert A. Frist, Jr., Jeffrey S. Doster, Gerard M. Hayden, Jr., J. Edward Pearson, Michael Sousa, and Michael Collier; provided, however, that it is understood and agreed that the individuals listed above shall have no personal liability in any manner whatsoever hereunder or otherwise related to the Transactions contemplated hereby by virtue of being named in this definition.

Knowledge of Target. (or any formulation thereof) means the actual knowledge of any of: (i) Xxxx Xxxxxx, Xxxxxx Xxxxxx, and Xxxxx Xxxxxxxxxx; (ii) Xxxxxxx XxXxxx, Xxxxxx Xxxx, and Xxxxxxxxx Xxxxxxx with respect to Sections 5(l), 5(r) and 5(s) only; and (iii) Xxxx Xxxxxx with respect to Sections 5(l), 5(r), 5(s), and 5(x) only.
