Knowledge of Target definition

Knowledge of Target means with respect to a particular fact or other matter, the actual knowledge of Xxxxxx X. Xxxxxx, III, Xxxxxx X. Xxxxxx or Xxxxxx X. Xxxxx, XX of such fact or matter, after reasonable inquiry.

Knowledge of Target and words of similar import shall mean all facts known by those officers or directors of Target or Target Subsidiaries set forth in Section 8.7(p) of the Target Disclosure Letter after due inquiry and diligence with respect to the matters at hand.

Knowledge of Target means with respect to a particular fact or other matter, the actual knowledge, after reasonable inquiry, of such fact or matter on the part of Robert A. Frist, Jr., Jeffrey S. Doster, Gerard M. Hayden, Jr., J. Edward Pearson, Michael Sousa, and Michael Collier; provided, however, that it is understood and agreed that the individuals listed above shall have no personal liability in any manner whatsoever hereunder or otherwise related to the Transactions contemplated hereby by virtue of being named in this definition.

XxXxxx, Senior Vice President, Chief Accounting Officer and Secretary; Xxxx X. Xxxxxxxxxx, Vice President-Business Development — TMRX; A. Xxxx Xxxxxx, Vice President-Operations — TMRX; Xxxxxx X. Xxxx, Vice President and Xxxxx Porciaux, Land Coordinator.

Knowledge of Target or “to Target’s knowledge” means the actual knowledge of X. Xxxxxx Credit, Xxxxxx Xxxxxx or Xxxxx Xxxxxxx.

Knowledge of Target or “Target’s Knowledge” means, with respect to any executive officer or director of Target, the actual knowledge of such Persons, in each case after due inquiry and reasonable investigation.

Knowledge of Target. (or similar phrases) means the Knowledge of either of Xxxxxxxx Xxxxxx III or Xxxx Xxxxxxx.

Knowledge of Target. “Target’s knowledge” and similar references refer to the actual knowledge of any member of Target’s board of directors and Managers and, with respect to the Managers, the knowledge that any such individual would have possessed had they made reasonable due inquiry with respect to the matter in question.

Knowledge of Target. “Target’s Knowledge” or similar terms means the actual knowledge of Xxxx Xxxxxx or Rohan Saikia, and the actual knowledge of Xxxx Xxxxxx or any Key Employee after inquiry with their direct reports; provided, that if Xxxx Xxxxxx or any such Key Employee does not undertake an inquiry of such Person’s direct reports, “actual knowledge” shall also include the knowledge such Person would reasonably be expected to have had if such Person had undertaken such inquiry.

Knowledge of Target means the actual knowledge of the representatives of Target set forth on Schedule 3.5 hereto after reasonable investigation.
