BANKING AND FINDERS' FEES. There is no investment banker, broker, finder or other intermediary, which has been retained by or is authorized to act on behalf of the Company who might be entitled to any fee or commission in connection with the transactions contemplated by this Agreement.

There is and will be no investment banker, broker, finder or other intermediary retained by or authorized to act on behalf of Parent or any of the Parent Subsidiaries who might be entitled to any fee or commission from Parent or any of the Parent Subsidiaries upon or in respect of the consummation of the transactions contemplated by this Agreement.

There is and will be no investment banker, broker, finder or other intermediary retained by or authorized to act on behalf of TriZetto or any of its Subsidiaries who might be entitled to any fee or commission from TriZetto or any of its Subsidiaries upon consummation of the transactions contemplated by this Agreement.

There is no investment banker, broker, finder or other intermediary retained by or authorized to act on behalf of the Company who might be entitled to any fee or commission in connection with the transactions contemplated by this Agreement, except for the Company’s obligation to Xxxxxxxx Xxxxx Xxxxxx & Xxxxx. A true and complete copy of the Company’s engagement letter with Xxxxxxxx Xxxxx Xxxxxx & Xxxxx as in effect on the date hereof has been furnished to Parent and such engagement letter has not been modified, supplemented or otherwise amended.
BANKING AND FINDERS' FEES. There is and will be no investment banker, broker, finder or other intermediary retained by or authorized to act on behalf of, HealthWeb who might be entitled to any fee or commission from HealthWeb, TriZetto, TAG or any of their Affiliates upon consummation of the transactions contemplated by this Agreement.

There is and will be no investment banker, broker, finder or other intermediary retained by or authorized to act on behalf of, CBS or its Subsidiary who might be entitled to any fee or commission from TriZetto or any of its Affiliates upon consummation of the transactions contemplated by this Agreement.

Except as set forth in Section 3.13 of the RIMS Disclosure Schedule, there is no investment banker, broker, finder or other intermediary, which has been retained by or is authorized to act on behalf of the Shareholders, RIMS, Kircx xx Heimxxxx xxx 16 18 might be entitled to any fee or commission in connection with the transactions contemplated by this Agreement.

Except as set forth in Section 4.11 of the TriZetto Disclosure Schedule, there is and will be no investment banker, broker, finder or other intermediary retained by or authorized to act on behalf of TriZetto or any of the TriZetto Subsidiaries who might be entitled to any fee or commission from RIMS or any of the TriZetto Subsidiaries upon consummation of the transactions contemplated by this Agreement.

Except for fees payable to UBS Securities LLC, there is and will be no investment banker, broker, finder or other intermediary retained by or authorized to act on behalf of Parent or any of the Parent Subsidiaries who might be entitled to any fee or commission from Parent or any of the Parent Subsidiaries upon consummation of the transactions contemplated by this Agreement.
BANKING AND FINDERS' FEES. There is no investment banker, broker, finder or other intermediary which has been retained by or is authorized to act on behalf of Finserv who might be entitled to any fee or commission in connection with the transactions contemplated by this Agreement.
