Basic Corporate Records. The copies of the Articles of Incorporation of the Company (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of the Company, as the case may be (certified as of the date of this Agreement as true, correct and complete by the Company’s secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.
Basic Corporate Records. The copies of the Memorandum and Articles of Association of the Company (certified as of the date of this Agreement as true, correct and complete by the Company’s secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.
Basic Corporate Records. The copies of the Articles of Incorporation of the Company and the Bylaws of the Company all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.
Basic Corporate Records. The copies of the Articles of Incorporation of Metallicum (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of Metallicum, all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement. The minute books of Metallicum, which shall be exhibited to the Purchaser between the date hereof and the Closing Date, each contain true, correct and complete minutes and records of all meetings, proceedings and other actions of the shareholders and Board of Directors of Metallicum, except where such would not have a Material Adverse Effect and, on the Closing Date, will, to the best of Sellers’ knowledge, contain true, correct and complete minutes and records of any meetings, proceedings and other actions of the shareholders and the Board of Directors of Metallicum.
Basic Corporate Records. The copies of the Articles of Incorporation of DMI (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation) and the Bylaws of DMI (certified as of the Closing as true, correct and complete by DMI’s secretary or assistant secretary), all of which Shareholder shall deliver to DYHP prior to Closing, are or will be true, correct and complete when delivered as of the Closing.
Basic Corporate Records. The copies of the Articles of Incorporation and Bylaws, as amended, of the Company (the “estatuto,” filed with the Public Registry) and any Subsidiaries (as defined in Section 3.06 hereof), if any, which have been delivered to the Purchasers, are true, correct and complete as of the date of this Agreement.
Basic Corporate Records. The copies of the Articles of Incorporation of PVBJ (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of PVBJ, as the case may be (certified as of the date of this Agreement as true, correct and complete by PVBJ’s secretary or assistant secretary), all of which have been delivered to H/Cell, are true, correct and complete as of the date of this Agreement.
Basic Corporate Records. The copies of the formation documents of TECHTOM (certified by the authorized official of the jurisdiction of incorporation), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement. The minute books of TECHTOM, which shall be exhibited to the Purchaser between the date hereof and the Closing Date, each contain true, correct and materially complete minutes and records of all meetings, proceedings and other actions of the Board of Directors and stockholders of TECHTOM, except where such would not have a Material Adverse Effect and, on the Closing Date, will, contain true, correct and materially complete minutes and records of any meetings, proceedings and other actions of the Board of Directors and stockholders of TECHTOM.
Basic Corporate Records. The copies of the Constitution of the Company and Nyati Resources (each certified as of the date of this Agreement as true, correct and complete by the Company’s secretary or assistant secretary), have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement. The copy of the Memorandum and 267671.03 4 Articles of Association of Nyati Botswana (certified as of the date of this Agreement as true, correct and complete by the Nyati Botswana’s secretary or assistant secretary), which has been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.
Basic Corporate Records. The copies of the Articles of Incorporation of Pentec and PCM (certified by the Secretary of State or other authorized official of the jurisdiction of incorporation), and the Bylaws of Pentec and PCM, as the case may be (certified as of the date of this Agreement as true, correct and complete by the Pentec's or PCM's secretary or assistant secretary), all of which have been delivered to the Purchaser, are true, correct and complete as of the date of this Agreement.
