Minutes and Records. (a) The Owners’ Committee shall cause to be kept records and minutes of:-
(i) the appointment and election and vacation of appointments of all its members, chairman and secretary and all changes therein;
(ii) all resolutions and notes of proceedings of the Owners’ Committee;
(iii) the members present at all meetings.
(b) Such records and minutes shall be kept in such place as the Owners’ Committee may from time to time determine and shall be open to inspection by any Owner on reasonable notice being given and such Owner shall also be entitled to extracts thereof on paying the reasonable copying charges therefor.

Minutes and Records. The corporate records and minute books of the Company and the Lender contain complete and accurate minutes of all meetings and resolutions of the directors (and any committees thereof) and shareholders of the Company and the Lender, as applicable, and the share certificate books, register of shareholders, register of transfers and register of directors of the Company and the Lender are complete and accurate in all material respects.
Minutes and Records. 11.1 The Note Registrar shall make and enter in its books minutes of all resolutions and proceedings at every meeting of Class A Offered Noteholders promptly following the conclusion of the relevant meeting.
11.2 Minutes of meetings of Class A Offered Noteholders are conclusive evidence if signed (or purportedly signed) by the chairman of that meeting or the chairman of the next succeeding meeting. Until the contrary is proved every meeting of which minutes have been made and signed is taken to have been duly convened and held and all resolutions passed or proceedings transacted at that meeting are taken to have been duly passed and transacted.
11.3 The Note Registrar shall provide a Class A Offered Noteholder with a copy of the minutes of each meeting of Class A Offered Noteholders promptly after request.
Minutes and Records. 56.1 The School must, within one month, make and keep the following records:
(a) minutes of proceedings and resolutions of General Meetings
(b) minutes of circular resolutions of Fellows
(c) a copy of a notice of each General Meeting, and
(d) a copy of a Fellows’ statement distributed to Fellows under clause Error! R eference source not found..
56.2 The School must, within one month, make and keep the following records:
(a) minutes of proceedings and resolutions of Advisory Board Members’ meetings (including meetings of any committees), and
(b) minutes of circular resolutions of Advisory Board Members.
56.3 To allow Fellows to inspect the School’s records:
(a) the School must give a Fellow access to the records set out in clause 56.1, and
(b) the Advisory Board Members may authorise a Fellow to inspect other records of the School, including records referred to in clause 56.2 and clause 57.1.
56.4 The Advisory Board Members must ensure that minutes of a General Meeting or an Advisory Board Members’ meeting are signed within a reasonable time after the meeting by:
(a) the chairperson of the meeting, or
(b) the chairperson of the next meeting.
56.5 The Advisory Board Members must ensure that minutes of the passing of a circular resolution (of Fellows or Advisory Board Members) are signed by an Advisory Board Member within a reasonable time after the resolution is passed.
Minutes and Records. All resolutions are to be documented. Minutes are to be signed by the Chairman or if the Chairman did not preside over the meeting by the Deputy Chairman as well as by the Secretary. Minutes for resolutions passed by written consent are also to be prepared.

Minutes of all resolutions and proceedings at every meeting of any Class of A$ Noteholders shall be made and duly entered in the books to be from time to time provided for that purpose by the Trustee and any such minutes purporting to be signed by the chairperson of the meeting at which such resolutions were passed or proceedings transacted or by the chairperson of the next succeeding meeting of that Class of A$ Noteholders shall be conclusive evidence of those matters and until the contrary is proved every such meeting in respect of the proceedings of which minutes have been made and signed shall be deemed to have been duly convened and held and all resolutions passed or proceedings transacted at such meeting to have been duly passed and transacted.

Minutes of all resolutions and proceedings at every meeting of the Voting Mortgagees under this clause 40 shall be made and duly entered in the books to be from time to time provided for that purpose by the Security Trustee and any such minutes purporting to be signed by the chairman of the meeting at which those resolutions were passed or proceedings transacted or by the chairman of the next succeeding meeting of the Voting Mortgagees shall be conclusive evidence of the matters contained in those minutes and until the contrary is proved, provided every meeting in respect of the proceedings of which minutes have been made and signed as provided in this clause 40.14 shall be deemed to have been duly convened and held and all resolutions passed or proceedings transacted in that meeting to have been duly passed and transacted. -------------------------------------------------------------------------------- Page 55 SECURITY TRUST DEED XXXXX XXXXX & XXXXXXX --------------------------------------------------------------------------------
