Bed Taxes. If requested by Lender, evidence of payment by Borrower of any applicable provider bed taxes or similar taxes. (o)
Bed Taxes. Existing Operator shall provide to New Operator satisfactory evidence that all Bed Taxes due and owing for each Facility have been paid.
Bed Taxes. All bed taxes due under Ohio Revised Code §§ 3721.50 - 3721.99 or provider franchise fees for the current year applicable to the Facilities shall be prorated on an accrual basis utilizing actual final tax bills, if available, with the Seller responsible for each day of the year prior to the Closing and with the Buyer responsible for each day of the year on and after the Closing. If such tax bills are not available, such taxes shall be prorated on the basis of the most currently available tax bills for the Facilities. Prior to or at Closing, Seller have paid all such tax bills that are due or will pay any amount accrued as of that date to the Buyer, by means of a credit against the Purchase Price due at Closing.
Bed Taxes. Sublessor shall be responsible for payment of all outstanding bed/provider taxes to the State of Georgia which relate to the operation of the Facilities prior to the Commencement Date. Sublessee shall use its reasonable best efforts to negotiate a reduction in the total provider fee payment obligation and a payment agreement with the State of Georgia. Sublessee shall involve Sublessor in all discussion, communications and negotiations with the State regarding this issue and any payment agreement must be approved in advance by Sublessor. Sublessor agrees to reimburse Sublessee for any amounts recouped by the State of Georgia relating to bed/provider taxes for any periods prior to the Commencement Date within ten (10) business days of written notice thereof. In addition, Sublessee shall cooperate with Sublessor as Sublessor may request in making an administrative claim against the estate of the Prior Operator in an amount equal to the Bed Taxes that Sublessor pays or reimburses to Sublessee hereunder.
