Binding Benefit. This Agreement constitutes the entire agreement and understandings among the parties. All previous discussions, promises, representations and understandings among the parties relative to this Agreement, if any, are superseded by this Agreement. This Agreement shall bind and benefit the parties and their respective successors and assigns, regardless of whether such successors and assigns agree to be bound by the Agreement.
Binding Benefit. The provisions, covenants, and agreements herein contained shall inure to the benefit of, and be binding upon, the parties hereto and each of their respective legal representatives, successors, and assigns.

Binding Benefit. Subject to the restrictions set forth in this Agreement, this Agreement is binding on and inures to the benefit of the parties and their respective heirs, legal representatives, successors, and assigns. There are no third-party beneficiaries of this Agreement.
Binding Benefit. This Note, and the obligations and rights of the parties hereunder, shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. Each of the holders of the Convertible Notes is an intended third party beneficiary of the obligations of the Payee hereunder.

Nothing in this Agreement shall create or be deemed to create any rights in any person or entity not a party to this Agreement other than a Rights Holder.
