Binding Effect; Successors and Assigns; Survival. The terms and provisions of this Lease, and the respective rights and obligations hereunder of Lessor and Lessee, shall be binding upon their respective successors, legal representatives and assigns (including, in the case of Lessor, any Person to whom Lessor may transfer the Property) and inure to the benefit of their respective permitted successors and assigns, and the rights hereunder of the Lender shall inure (subject to such conditions as are contained herein) to the benefit of its permitted successors and assigns.
Binding Effect; Successors and Assigns; Survival. The terms and provisions of this Lease, and the respective rights and obligations hereunder of Lessor and the Lessees, shall be binding upon their respective successors, legal representatives and assigns (including, in the case of Lessor, any Person to whom Lessor may transfer any Leased Property or any interest therein in accordance with the provisions of the Operative Documents), and inure to the benefit of their respective permitted successors and assigns, and the rights granted hereunder to the Agent and the Lenders shall inure (subject to such conditions as are contained herein) to the benefit of their respective permitted successors and assigns. Each Lessee hereby acknowledges that Lessor has assigned all of its right, title and interest to, in and under this Lease to the Agent and the Lenders pursuant to the Loan Agreement and related Operative Documents, and that all of Lessor's rights hereunder may be exercised by the Agent.

The terms and provisions of this Agreement, and the respective rights and obligations hereunder of the Lessor and the Lessee, shall be binding upon their respective successors and assigns (including, in the case of the Lessor, any Person to whom the Lessor may transfer all or any portions of the Facility), and inure to the benefit of their respective permitted successors and assigns. The obligations of the Lessee under this Agreement shall survive the termination of this Agreement.

The terms and provisions of this Agreement, and the respective rights and obligations hereunder of the Owner and the Operator, shall be binding upon their respective successors and assigns (including, in the case of the Owner, any Person to whom the Owner may transfer all or any portions of the Facility), and inure to the benefit of their respective permitted successors and assigns. The obligations of the Operator under this Agreement shall survive the termination of this Agreement.

The terms and provisions of this Lease, and the respective rights and obligations hereunder of Landlord and Tenant, shall be binding upon their respective successors, legal representatives and assigns (including, in the case of Landlord, any Person to whom Landlord may transfer the Property) and inure to the benefit of their respective permitted successors and assigns.

The terms and provisions of this Lease, and the respective rights and obligations hereunder of Lessor and Lessee, shall be binding upon their respective successors, legal representatives and assigns (including, in the case of Lessor, any Person to whom Lessor may transfer the Leased Property or any interest therein in accordance with the provisions of the Operative Documents), and inure to the benefit of its permitted successors and assigns, and the rights hereunder of the Administrative Agent shall inure (subject to such conditions as are contained herein) to the benefit of their respective permitted successors and assigns. Lessee hereby acknowledges that Lessor has assigned all of its right, title and interest to, in and under this Lease, but not its obligations under this Lease, to the Administrative Agent, and that such rights of Lessor hereunder may be exercised by the Administrative Agent and that the Administrative Agent is an express third party beneficiary hereof.
Binding Effect; Successors and Assigns; Survival. The terms and provisions of this Sublease, and the respective rights and obligations hereunder of Sublessor and Sublessee, shall be binding upon their respective successors, legal representatives and assigns and inure to the benefit of their respective permitted successors and assigns. Sublessor may transfer and assign, in whole or in part, its rights and obligations in the Leased Premises that are the subject to this Sublease, in which case Sublessor shall have no further liability hereunder, provided that such transferee assumed the obligations, and further provided that written notice thereof is provided to Sublessee. In such event, the Sublessor will be and is entirely freed and relieved of all liability under any and all of its covenants and obligations contained in or derived from this Sublease arising out of any act, occurrence, or omission occurring after the consummation of such sale. The assignee will be deemed, without any further agreement between the parties or their successors in interest or between the parties and any such purchaser, to have assumed and agreed to carry out any and all of the covenants and obligations of the Sublessor under this Sublease.
