Bonus Restricted Shares. On the Vesting Date, a percentage, determined in accordance with the schedule below and subject to the Committee’s discretionary authority described in Section 4(c)(iv), of the Bonus Restricted Shares (rounded down to the nearest whole share) awarded to Employee pursuant to Section 3 hereof that are still outstanding and not previously forfeited shall vest and become nonforfeitable, and the restrictions applicable hereunder to such vested Bonus Restricted Shares shall terminate. The vested percentage determined in accordance with the schedule below, shall be based upon the level of the Company’s Total Shareholder Return relative to the Total Shareholder Return of the companies in the Peer Group, all determined at the end of the Performance Period. Any Bonus Restricted Shares that do not become vested as of the Vesting Date shall be forfeited by Employee and transferred to the Company at no cost to the Company. Bonus Restricted Shares. The Company hereby agrees to grant to the Management Investor, from time to time, as determined by the Company and CLI in their sole discretion, Common Shares (the “Bonus Restricted Shares”) in satisfaction of up to fifty percent (50%) (as determined by the Company and CLI in their sole discretion) of any Performance Bonus (as defined in that certain Employment Agreement, dated March 25, 2010 between the Management Investor and CLI (the “Employment Agreement”)) (if any) paid to the Management Investor. The tranche of Bonus Restricted Shares (if any) for a calendar year shall be granted to the Management Investor as of the date on which the cash portion of the Performance Bonus, if any, for such performance year is paid to the Management Investor (as set forth in the Employment Agreement) The number of Bonus Restricted Shares (if any) to be granted to the Management Investor for a performance year shall equal (i) the product of (A) the aggregate dollar amount of the Performance Bonus (if any) for such year and (B) the percentage of such Performance Bonus (if any) determined by the Company and CLI in their sole discretion to be paid in Common Shares (which in no event shall be greater than fifty percent (50%) of the value of the Performance Bonus), divided by (ii) the Fair Market Value per Common Share on the date of grant (which such quotient shall be rounded up or down, as applicable, to the nearest whole number). The Bonus Restricted Shares will be subject to the terms and conditions of a definitive grant agreement by and between the Company and the Management Investor, which will provide, among other things, that one-third (1/3) of the Bonus Restricted Shares granted with respect to a performance year shall vest on each of the first three anniversaries of the date of grant of such Bonus Restricted Shares, generally subject to the Management Investor’s continued employment with CLI on the applicable vesting date, but subject to accelerated vesting in the same manner as set forth in Section 2(b) hereof.
Bonus Restricted Shares. As determined by the Company in its sole discretion, up to fifty percent (50%) of any Performance Bonus may be granted as common shares (“Shares”) of SeaCube (the “Bonus Restricted Shares”) by March 15 of the calendar year immediately following the calendar year in which such Performance Bonus was earned. The number of Bonus Restricted Shares (if any) to be granted to the Executive for a performance year shall equal (i) the product of (A) the aggregate dollar amount of the Performance Bonus (if any) for such year and (B) the percentage of such Performance Bonus (if any) determined by the Company in its sole discretion to be paid in Shares (which in no event shall be greater than fifty percent (50%) of the value of the Performance Bonus), divided by (ii) the Fair Market Value (as defined below) per Share on the date of grant (which such quotient shall be rounded up or down, as applicable, to the nearest whole number). The Bonus Restricted Shares will be subject to the terms and conditions of the SeaCube Container Leasing Ltd. 2010 Omnibus Equity Incentive Plan, or another equity incentive plan of SeaCube as in effect on the date of such grant (if any), and a definitive grant agreement by and among SeaCube, CLI and the Executive, which will provide, among other things, that one-third (1/3) of the Bonus Restricted Shares granted with respect to a performance year shall vest on each of the first three anniversaries of the date of grant of such Bonus Restricted Shares, generally subject to the Executive’s continued employment with the Company on the applicable vesting date.

  • Company Restricted Stock Units At the Effective Time of the First Merger, each Company Restricted Stock Unit then outstanding shall be assumed by Parent (each, an “Assumed RSU”). Subject to, and in accordance with, the terms of the applicable Company Stock Plan and any applicable award or other agreement, each Assumed RSU shall be converted into the right to receive the number of shares of Parent Common Stock (or an amount in respect thereof for cash settled Company Restricted Stock Unit) equal to the number of shares of Company Common Stock subject to the Company Restricted Stock Unit multiplied by the Stock Award Exchange Ratio (rounded down to the nearest whole number of shares of Parent Common Stock). Each Company Restricted Stock Unit shall have the same terms and conditions as were in effect immediately prior to the Effective Time of the First Merger other than with respect to those Company Restricted Stock Units listed (i) in Section 5.9(c)(i) of the Company Disclosure Schedule that were subject to performance based vesting conditions prior to the date of this Agreement and that shall be deemed issued and vested in their entirety at the Effective Time of the First Merger and released from any forfeiture rights pertaining to such shares in favor of Company, Parent or Surviving Entity, and (ii) in Section 5.9(c)(ii) of the Company Disclosure Schedule, which shall be deemed issued in their entirety at the Effective Time of the First Merger, which shall be converted into the right to receive Parent Common Stock according to the same formula applied to the Assumed RSUs above, and which shall be subject to quarterly vesting over a two-year period following the Effective Date in accordance with the terms of the 2006 Plan. Except as set forth in this Section 5.9(c). Company shall not take or permit any action that would accelerate vesting of any Company Restricted Stock Unit, except to the extent required by the terms of any such Company Restricted Stock Unit as in effect on the date hereof. Copies of the relevant agreements governing such Company Restricted Stock Unit and the vesting thereof have been provided to Parent. Except as set forth in this Section 5.9(c), all outstanding rights that Company may hold immediately prior to the Effective Time of the First Merger to the forfeiture of shares of Company Common Stock subject to the Company Restricted Stock Unit shall be assigned to Parent in the First Merger and shall thereafter be held by Parent upon the same terms and conditions in effect immediately prior to the Effective Time of the First Merger, except that the shares forfeitable pursuant to such rights shall be appropriately adjusted to reflect the Stock Award Exchange Ratio.
