Bookkeeping and Accounts. Medical Management shall provide all bookkeeping and accounting services necessary or appropriate to support the Offices, including, without limitation, maintenance, custody and supervision of all business records, papers, documents, ledgers, journals and reports, and the preparation, distribution and recordation of all bills and statements for professional services rendered by Doctor's Care, including the billing and completion of reports and forms required by insurance companies or governmental agencies, or other third-party payors (such records, papers, documents, ledgers, journals and reports shall not be deemed to include patient records and other records, reports and documents which relate to patient treatment by Doctor's Care's physicians); provided, however, it is understood that all such business records, papers and documents are the sole property of Doctor's Care, and shall be available for inspection by Doctor's Care at all times, and shall be delivered to Doctor's Care upon termination of this Agreement. Doctor's Care shall provide Medical Management with a complete copy of all such documents, records, and papers at Doctor's Care's expense upon termination of this Agreement.

Bookkeeping and Accounts. Service Company shall provide all bookkeeping and accounting services necessary or appropriate to the functioning of the Dental Centers including, but not limited to, maintenance, custody and supervision of all business records, ledgers, journals and reports, and the preparation, distribution and recordation of all bills and statements for professional services rendered by P.C. including the billing and completion of reports and forms required by insurance companies, dental maintenance organizations, governmental agencies or other third-party payors (collectively, the "Business Records"); provided, however, that such Business Records shall not be deemed to include patient records and other records or documents which relate to patient treatment by dentists.
Bookkeeping and Accounts. GDSC shall provide all bookkeeping and accounting services reasonably necessary or appropriate to support the Clinics, including, without limitation, maintenance, custody and supervision of all of business records, papers, documents, ledgers, journals and reports (the "Books and Records"), the preparation, distribution and recording of all remittances by Group for accounts payable or payroll, and the preparation, distribution and recording of all bills and statements for professional services rendered by Group, including the billing and completion of reports and forms required by insurance companies, governmental agencies or other third-party payors (such records, papers, documents, ledgers, journals and reports shall not be deemed to include patient records and other records, reports and documents which relate to patient treatment by Group's dentists). The Books and Records at all times shall be materially correct and complete and contain correct and timely entries made with respect to transactions entered into pursuant hereto in accordance with generally accepted accounting principles ("GAAP") as in effect at such time. It is understood, however, that all such business records, papers and documents are the sole property of Group, shall be available for inspection by Group at all times, and shall be delivered to Group upon termination of this Agreement. Group shall provide GDSC with a complete copy of all such documents, records, and papers at Group's expense upon termination of this Agreement.

Notwithstanding the foregoing, HLM shall be responsible for maintaining full and accurate accounting records of all services rendered and such additional information as may be required in order for HLM to satisfy any and all applicable reporting requirements.

Bookkeeping and Accounts. VL (or any outside entity which VL shall supervise and direct the performance of) shall supervise and direct the performance of the bookkeeping and accounting services for and on behalf of Company, including but not limited to, maintenance, custody and supervision of all of business records, papers, documents, ledgers, journals and reports, prepare or cause to be prepared federal and state tax filings and all bills and statements for Company; provided, however, it is understood that all such business records, papers and documents are the sole property of Company, and shall be available for inspection by Company at all times. Upon termination of this Agreement all such business records, papers and documents shall be delivered to a party to be jointly designated in writing by VL and Company and while in the custody of such third party VL and Company shall have access thereto for inspection and other business purposes. If VL and Company do not designate a third party custodian by the effective date of termination of this Agreement, VL will serve as such custodian. Company shall provide VL with a complete copy of all such documents, records, and papers at Company's expense upon termination of this Agreement. As more fully provided in Section 11 below, Company and its personal shall cooperate in the creation of any new checking accounts as may be requested by VL in furtherance of this agreement.

Bookkeeping and Accounts. B.R. shall supervise the bookkeeping and accounting services for and on behalf of the Company, including but not limited to, maintenance, care and supervision of all business records, papers, documents, ledgers, journals and reports, the preparation of all federal and state tax filings for the Company and the payment, collection and accounting of all accounts receivable and payables of the Company. B.R. understands that all such business records, papers and documents are and will remain the sole property of the Company, and shall be available for inspection by the Company at all times. Upon termination of this Agreement, all such business records, papers and documents shall be delivered to the Company. Notwithstanding the foregoing, the officers of the Company, reporting to the Board of Directors of the Company, shall be responsible for all financial reporting, consistent with the Company's obligations as a publicly-held Company.

Carolina Orthopedic shall provide Medical Management with a complete copy of all such documents, records, and papers at Carolina Orthopedic’s expense upon termination of this Agreement.
