Bookkeeping and Accounting Services. Manager shall provide Group with all bookkeeping and accounting services Manager deems necessary or appropriate for the efficient and proper operation of Group. Such services shall include, without limitation, the maintenance, custody and supervision of business records, papers, documents, ledgers, journals and reports relating to the business operations of Group; the establishment, administration and implementation of accounting procedures, controls, forms and systems; the preparation of financial reports; the planning of the business operations of the Group; the payment of accounts payable (including claims administration and payment) and collection of accounts receivable; the preparation of necessary Group tax returns (as opposed to the tax returns of individual Group Physicians which shall be the responsibility of each physician); and the administration of the compensation formula and compensation distribution system established pursuant to the terms of this Management Agreement.

Such services may include the maintenance, custody and supervision of medical records, as further discussed in Section 6.a.; custody and supervision of business records, papers, documents, journals and reports relating to the business operations of the Wellness Practice; the establishment, administration and implementation of accounting procedures, controls, forms and systems; the preparation of unaudited financial statements; and the processing and payment of Physician’s accounts payable relating to the Wellness Practice.

Monthly warrants will be prepared and presented to the Executive Committee for approval for payment. Monthly, quarterly and annual income and expense statements will be prepared and presented to the Executive Committee for review and sent to MLP. An unaudited annual statement shall be produced within thirty (30) days after the end of the fiscal year to be used by the MLP manager to satisfy the MLP’s reporting requirements in a timely manner. The annual financial statements shall be accompanied by a certification that (a) the financial statements have been prepared from WiredWest’s or its Network Operator’s books and records in accordance with GASB standards and guidance and are true, correct and complete and fairly present in all material respects the financial condition of WiredWest operations as of the statement dates, and for the periods indicated thereon and (b) there has been no fraud or intentional or willful misconduct by any person in connection with the recordation, maintenance, or preparation of the financial statements, or any other financial documents, record or information.
