Borrower Corporate Documents. (1) The Certificate or Articles of Incorporation of Borrower, certified as of a recent date prior to the Closing Date by the Secretary of State (or comparable official) of its jurisdiction of incorporation;
(2) A Certificate of Good Standing (or comparable certificate) for Borrower, certified as of a recent date prior to the Closing Date by the Secretary of State (or comparable official) of its jurisdiction of incorporation;
(3) A certificate of the Secretary or an Assistant Secretary of Borrower, dated the Closing Date, certifying (a) that attached thereto is a true and correct copy of the Bylaws of Borrower as in effect on the Closing Date; (b) that attached thereto are true and correct copies of resolutions duly adopted by the Board of Directors of Borrower and continuing in effect, which authorize the execution, delivery and performance by Borrower of this Agreement and the other Credit Documents executed or to be executed by Borrower and the consummation of the transactions contemplated hereby and thereby; and (c) that there are no proceedings for the dissolution or liquidation of Borrower;
(4) A certificate of the Secretary or an Assistant Secretary of Borrower, dated the Closing Date, certifying the incumbency, signatures and authority of the officers of Borrower authorized to execute, deliver and perform this Agreement, the other Credit Documents and all other documents, instruments or agreements related thereto executed or to be executed by Borrower; and
Borrower Corporate Documents. (1) The Articles of Incorporation of Borrower, certified as of a recent date prior to the Effective Date by the Secretary of State of California;
Borrower Corporate Documents. The Certificate or Articles of Incorporation of Borrower, certified as of a recent date prior to the Closing Date by the Secretary of State (or comparable official) of its jurisdiction of incorporation;
Borrower Corporate Documents. (A) Certified copies of the certificate of incorporation, certificate of incorporation on change of name (if any) and up-to-date memorandum and articles of association of the Borrower.
(B) A certified copy of a resolution (or an extract thereof) of the board of directors of the Borrower:
(1) approving the terms of, and the transactions contemplated by, the Finance Documents to which it is a party and resolving that it executes the Finance Documents to which it is a party;
(2) authorising a specified person or persons to execute the Finance Documents to which it is a party on its behalf; and
(3) authorising a specified person or persons, on its behalf, to sign and/or despatch all documents and notices (including any Drawdown Notice) to be signed and/or despatched by it under or in connection with the Finance Documents to which it is a party.
(C) A specimen of the signature of each person authorised by the resolution referred to in paragraph (B) above.
Borrower Corporate Documents. Borrower shall have delivered to Lender each of the following:
(i) the certificate of incorporation of Borrower, certified by the Secretary of State of Delaware, dated as of a date not more than 10 days prior to the Funding Date;
(ii) a good standing certificate dated as of a recent date for Borrower from the Secretary of State of (x) Delaware and (y) each other jurisdiction where Borrower is qualified to do business, in each case, dated as of a date not more than 10 days prior to the Funding Date;
(iii) a certificate of the Secretary of Borrower, dated as of the Funding Date, certifying as to;
(A) the certificate of incorporation of Borrower as in effect on the Funding Date;
(B) the bylaws of Borrower as in effect on the Funding Date;
(C) the resolutions of the Board of Directors of Borrower approving each Transaction Document to which it is a party, and of all documents evidencing other necessary corporate or organizational action and governmental approvals, if any, with respect to each such Transaction Document; and
(D) the names and true signatures of the officers of Borrower authorized to sign each Transaction Document to which it is a party and the other documents to be delivered hereunder.
Borrower Corporate Documents. (1) The Certificate of Incorporation of Borrower, certified as of a recent date prior to the Closing Date by the Secretary of State of Delaware;
Borrower Corporate Documents. The Administrative Agent shall have received, with a counterpart for each Bank, true and complete copies of the certificate of incorporation and by-laws of the Borrower, certified as of the Closing Date as complete and correct copies thereof by the Secretary or an Assistant Secretary of the Borrower.
Borrower Corporate Documents. Certificate of Borrower’s secretary or assistant secretary certifying to (a) the resolutions of Borrower’s board of directors, (b) the incumbency and signatures of the officers or representatives executing the Amendment and the other Loan Documents (as applicable), (c) Borrower’s articles of incorporation and all amendments thereto, and (d) Borrower’s by-laws Borrower
Borrower Corporate Documents. Borrower's secretary shall have certified to each Bank a copy of the articles of incorporation and regulations of Borrower and resolutions duly adopted by Borrower's board of directors in respect of this Agreement and the transactions contemplated hereby and authorizing (or ratifying) the execution, delivery and performance of this Agreement, the subject notes and the security and other documents to be executed and delivered pursuant to subsections 2E.02 and 2E.03.
