Breach of Settlement Agreement. The Respondent acknowledges and understands that in the event of a breach or failure to comply with this Settlement Agreement, Staff may commence proceedings under section 179(2) of the Securities Act against the Respondent and seek any remedy available under that section.
Breach of Settlement Agreement. If ActivX materially breaches that certain Settlement Agreement of even date herewith entered into by and among Phenomix, ActivX, Xxxxx Xxxxxxxx, Xxxxx Xxxx, and Xxxx Xxxxxxxxx, Phenomix shall have the right, at its sole election, to terminate this Agreement upon thirty (30) days prior written notice to ActivX; provided, however, that if ActivX shall cure such breach or default within the thirty (30) day period, this Agreement shall continue in full force and effect.
