BROKERS COMMISSION OR FINDER'S FEE. Seller has not retained any broker or finder or agreed to become obligated to pay any fee or commission to any broker or finder for or an account of the transactions contemplated by this Agreement. The Purchaser shall be responsible for the fees and commissions of any broker or finder engaged by it in connection with these transactions.
BROKERS COMMISSION OR FINDER'S FEE. The payment of fees and commissions to Xxxxxxx Xxxxx Barney will be paid by the Surviving Corporation pursuant to Section 2.09(c) above.

The payment of the fees and commissions payable to Xxxxxxx Xxxxx Barney will be paid by the Surviving Corporation pursuant to the terms of Section 11.1 of this Agreement. ------------
BROKERS COMMISSION OR FINDER'S FEE. 12.1 Buyer's Representation and Agreement to Indemnify. Buyer represents and warrants to Trustee that neither it nor any person or entity acting on its behalf has agreed to pay a commission, finder's fee or similar payment in connection with this Agreement or any matter related hereto to any person or entity, nor has it or any person or entity acting on its behalf taken any action on which a claim for any such payment could be based. Buyer further agrees to indemnify and hold Trustee and the Estate harmless from and against any and all claims, losses, liabilities and expenses (including reasonable attorney's fees) arising out of a claim by any person or entity based on any such arrangement or agreement made or alleged to have been made by Buyer.

The parties hereto represent and warrant to each other that neither of them, nor any person or entity acting on their behalf, has agreed to pay a commission, finder's fee or similar payment in connection with this Agreement or any matter related hereto to any person or entity other than the fee payable to Richxxx X. Xxxxxxx Xxxociates, Inc., which was engaged by QED, nor have they or any person or entity acting on their behalf taken any other action on which a claim for any such payment could be based. The parties hereto further agree to indemnify and hold each other harmless from and against any and all claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of a claim by any person or entity based on any such arrangement or agreement made or alleged to have been made by either QED or Buyer. QED is and shall be solely responsible for any fees of Richxxx X. Xxxxxxx Xxxociates, Inc.
