Bulk Sale Compliance. Contributor shall indemnify Acquiror against any claim, loss or liability arising under the bulk sales law in connection with the transaction contemplated herein.
Bulk Sale Compliance. Seller shall indemnify Purchaser against any claim, loss or liability arising under all bulk sales laws applicable to and in connection with the transaction contemplated herein.
Bulk Sale Compliance. Notwithstanding anything contained in this Agreement, ISG and Buyer hereby waive compliance with any bulk sale rule that relates to any Taxes of Sellers.
Bulk Sale Compliance. Seller shall fully comply with, and be solely responsible for preparing, filing and/or obtaining any and all notices, certificates and clearances required by, South Carolina law regarding bulk sales of Seller’s assets (and the corresponding law of any state or jurisdiction where any of the Assets are located), even if such law imposes any such obligation on Buyer (in which case, Seller may act as Buyer’s agent, with prompt written notice to Buyer).
Bulk Sale Compliance. The Notice to Creditors of Bulk Sale shall have been published and all requirements of the California Commercial Code relating to “Bulk Sales” shall have been complied with by the parties.
Bulk Sale Compliance. Buyer and Seller hereby waive compliance with the notice provisions of any bulk sale statute in effect in the state in which any Property is located.
Bulk Sale Compliance. Subject to Buyer's rights to indemnification under Section 9.2(a), Buyer hereby waives compliance by Seller with the provisions of the bulk sales laws of California and Seller shall pay and discharge when due all claims of creditors that could be asserted against Buyer by reason of such non-compliance to the extent that such claims are not specifically assumed by Buyer.
Bulk Sale Compliance. Seller and AMI agree that if the sale contemplated hereunder is a “bulk sale,” as that term is defined under applicable law, the Seller and AMI shall comply with all statutory requirements for such sales. Seller agrees to indemnify AMI against any and all liability arising due to Seller’s failure to adequately assist and advise AMI in complying with all notices and other requirements of a bulk sale by auction under any applicable law.
Bulk Sale Compliance. Notwithstanding anything contained in this Agreement, Buyer hereby waives compliance with any bulk sale rule that relates to any Taxes of Sellers.
Bulk Sale Compliance. If applicable, the Purchaser agrees to be responsible and liable for compliance with any applicable bulk sales requirements in connection with the purchase of the Business.
