Notice to Creditors. Seller and the Stockholders shall give notice, at Seller and the Stockholders' expense, to all creditors listed under the list provided by the Seller and the Stockholders under the foregoing paragraph, which notice shall state the following:
(i) The transfer contemplated by this Agreement is about to be made;
(ii) The name and business address of the Seller and the Stockholders;
(iii) Whether or not all of the debts of the Seller and the Stockholders are to be paid in full as they fall due as a result of this transaction; and, if so, the address to which the creditors should send their bills and invoices;
(iv) If the consideration to be given for the transactions contemplated hereunder is not adequate to pay all Seller and the Stockholders' creditors in full, the arrangements under which the Seller and the Stockholders undertake to pay such creditors, and the procedure to be followed by the creditors to assert their claims so that they will be paid by the Seller and the Stockholders as described in the notice.
Notice to Creditors. Lessee shall provide Lessor a copy of each notice or circular issued to the Lessee's creditors as a group, pursuant to the terms set forth in Section 6(c)(v).

Notice to Creditors. There are no current or past creditors of Transferor to whom any law, rule or regulation requires the delivery of notice or from whom any form of consent is required in conjunction with undertaking the transactions contemplated by this Agreement.

If applicable, within five (5) days after execution of this Agreement, but in no event less than fifteen (15) days prior to Closing, TDP shall prepare and furnish to DBS a list of creditors of TDP which conforms to all of the requirements of the Virginia Uniform Commercial Code -- Bulk Transfers, in particular the requirements as to form set forth in Virginia Code Section 8.6-104 and any Canadian equivalent statute.
Notice to Creditors. Seller shall have provided all notices required under applicable bankruptcy law and to such parties as Buyer may reasonably request.
Notice to Creditors. Transferee shall give notice to creditors of the transfer at least 10 days before taking possession of the goods or paying for them, whichever happens first. Notice shall be given in the form and manner as provided in the Uniform Commercial Code, if applicable.
Notice to Creditors. The Companies and Xxxxxxx have each given notice as is required by applicable law of the motions seeking approval of the transactions described herein and in the other Acquisition Documents to all:
(i) creditors (and interest holders) of the Companies and/or Xxxxxxx;
(ii) parties to Assumed Contracts referred to in SECTION 2.1(c) and parties to the three real property leases referred to in SECTION 2.10;
(iii) customers of the Mobile Business including those identified by the Customer Lists and Accounts referred to in SECTION 2.1(b);
(iv) each of the Radiation Officers;
(v) the Environmental Protection Agency and all governmental authorities either engaged in the regulation or oversight of the services performed in the Mobile Business or having any regulatory or other interest in any assets, rights, permits, licenses or contracts assigned or transferred to Purchaser including the Permits and the Radiation Material Licenses referred to in SECTION 2.1(d) and the related Schedule;
(vi) parties in pending or threatened lawsuits or other Actions and Proceedings, involving Companies and/or Xxxxxxx;
(vii) parties who have asserted or have threatened to assert claims against or interests in any of the Purchased Assets;
(viii) taxing authorities with jurisdiction over either of the Companies and/or Xxxxxxx and/or their respective assets;
(ix) unions and parties to any employment contract or collective bargaining agreement, written or oral; and
(x) employees of the Companies (and either of them).
Notice to Creditors. Sellers shall file with the Bankruptcy Court and serve on creditors as appropriate, a motion for an Order approving the provisions of Section 10.4 herein no later than the earlier of (a) five (5) days after Buyer gives Sellers permission to attach this Agreement to such motion, or (b) ten (10) Business Days after the execution of this Agreement.
Notice to Creditors. Xxxxxx shall provide notice of the bankruptcy proceedings and Plan to all known creditors, including, without limitation, all taxing authorities and all Parties with contingent claims against or interests in Xxxxxx and shall provided DS&P with evidence of such notice. Xxxxxx also shall (i) provide notice of the bankruptcy proceedings and plan and proof of claim forms to all persons who are or were participants in the 401(k) Plan or any predecessor thereto since January 1, 1995 and (ii) extend the bar date or create a new bar date to permit such participants to complete and return such forms.
