Bulk Transfer Provisions. The contribution and transfer of the Leases and Equipment by the Originator to the Seller, the contribution and transfer of the Leases by the Seller to the Issuer and the grant of the security interest in the Seller's interest in the Equipment by the Seller to the Issuer, in each case as contemplated in Section 1, are not subject to the bulk transfer or any similar statutory provisions in effect in any applicable jurisdiction.
Bulk Transfer Provisions. No transfer, assignment or conveyance of Contracts or the other Contributed Property by the Contributor to the Transferor contemplated by this Agreement will be subject to the bulk transfer or any similar statutory provisions in effect in any applicable jurisdiction.

Bulk Transfer Provisions. Purchaser acknowledges that the California Uniform Commercial Code is applicable to this transaction, but that it will be impractical to comply with such provisions. Accordingly, Seller covenants to indemnify and hold Purchaser harmless from any claims or demands of Seller's creditors arising out of or related to the failure to comply with the bulk transfer provisions, subject to and in accordance with the procedures set forth in SECTION 6.3.
Bulk Transfer Provisions. The Seller Parties and Purchaser hereby waive compliance with the provisions of any applicable bulk transfer law.

Each party hereto hereby waives compliance with the provisions of any applicable bulk transfer law; provided, however, that Sellers agree: (i) to pay and discharge when due or to contest or litigate all claims of creditors that are asserted against Buyer or the Assets by reason of noncompliance with any such law; (ii) to indemnify, defend and hold harmless Buyer from and against any and all such claims in the manner provided in Section 9; and (iii) to take promptly all necessary action to remove any Encumbrance on the Assets by reason of such noncompliance.

Seller and Purchaser hereby waive compliance with the provisions of any applicable bulk transfer law; provided, however, that Seller agrees, except to the extent that any of the following arise as a result of Purchaser’s failure to pay an Assumed Liability, (i) to pay and discharge when due or to contest or litigate all claims of creditors which are asserted against Seller, the Purchased Assets by reason of such noncompliance; (ii) to indemnify, defend and hold harmless Purchaser from and against any and all such claims in the manner provided in Article IX; and (iii) to promptly take all necessary action to remove any lien or encumbrance which is placed on the Purchased Assets by reason of such noncompliance.
