Business Existence. Borrower has the form of business organization, and is and will remain duly organized and validly existing in good standing under the laws of the jurisdiction, specified below the signature of Borrower. Borrower is duly qualified and authorized to transact business and is in good standing wherever necessary to perform its obligations under the Loan Documents, including, if necessary, each jurisdiction in which the Collateral is to be located.
Business Existence. Neither Borrower nor any of its wholly Owned Subsidiaries nor any Subpartnership shall engage to any substantial extent in any line or lines of business other than the businesses of owing, managing, leasing and operating regional malls and retail strip shopping centers and other related businesses to the extent incidental to the conduct of any of the foregoing businesses. Except as otherwise expressly permitted by the terms of this Agreement, Borrower shall, and shall cause each of its Wholly Owned Subsidiaries and each Subpartnership to, preserve and keep in full force and effect its existence, rights, franchises and trade names.
Business Existence. Trustor shall do all things necessary to preserve ------------------ and keep in full force and effect its rights and privileges to do business and to conduct its business in the State of California, and shall comply with all regulations, rules, ordinances, statutes, orders and decrees of any governmental authority or court applicable to the Trustor.

Each of the Guarantors is duly organized, validly existing, and in good standing under the laws of the jurisdiction of its organization and in good standing and qualified to do business in each jurisdiction where its ownership or lease of Property or conduct of its business requires such qualification and where a failure to be qualified could reasonably be expected to cause a Material Adverse Change.

Business Existence. Lender has and will keep and cause to be kept in full force and effect and in good standing, remained properly organized under the laws of the State, and all possess all rights, licenses, leases, and franchises reasonably necessary to conduct the business of the Lender. The Lender shall (i) give the MSF written notice of any change in its name, its state organizational identification number, if it has one, its type of organization, its jurisdiction of organization, and (ii) not make any change in its legal structure that would, as a matter of law, affect its surviving obligations under this Agreement, without the prior written consent of the MSF. The obligations and limitations set forth in the second sentence of this sub-section shall survive indefinitely.
