Business in Compliance with Law. In all material respects, the business and operations of the Corporation have been and are now conducted in compliance with all Laws of each jurisdiction in which the Corporation carries on or has carried on business, and the Corporation has not received any written notice of any alleged violation of any such Laws.
Business in Compliance with Law. In all material respects, the operations of the Business have been and are now conducted in compliance with all Applicable Laws of each jurisdiction in which the Business has been and is carried on; and the Vendor has not received any notice of any alleged breach of any such Applicable Laws.
Business in Compliance with Law. The Company and all aspects of the Business and its assets are and have been conducted in compliance with all Laws applicable to the Company. Except as set forth in Schedule 4.13, the Company has not received any written notice from any Governmental Authority regarding any actual or alleged violation of, or failure to comply in any respect with, any applicable Law.
Business in Compliance with Law. Except as disclosed in Schedule 15 of the Disclosure Letter, the Company and the Subsidiaries are in compliance with all Laws applicable to the Business, the Company or the Subsidiaries, except for non-compliance that would not, individually or in the aggregate, have a Material Adverse Effect.
Business in Compliance with Law. (a) ICC and its Subsidiaries are, and have at all times been, in compliance with all Laws applicable to ICC and its Subsidiaries and its and their business. No event has occurred and no circumstance exists that may constitute or result in (with or without notice or lapse of time) a violation or a failure to comply with any Laws applicable to ICC, or its subsidiaries, and neither ICC nor any of its Subsidiaries has received any notice or other communication (whether written or oral) from any Governmental Authority regarding any actual, alleged, possible or potential violation of, or failure to comply with, any such Laws.
Business in Compliance with Law. Wayland International is in compliance with all Laws applicable to its business, except for non- compliance that would not reasonably be expected to have a Wayland International Material Adverse Effect.
Business in Compliance with Law. To the knowledge of the Vendor, the operations of each of the Companies have been since November 15, 2000 and are now conducted in compliance, in all material respects, with all Laws of each jurisdiction in which the Companies carry on or have carried on business. None of the Companies has received any notice of any alleged violation of any such Laws which has not been cured.
Business in Compliance with Law. Each of the Corporation and the Subsidiaries is currently conducting, and during the past Notes 3 and 5 has conducted, their respective businesses in compliance in all material respects with applicable Law (including rules and regulations thereunder) of any federal, provincial, state, local, municipal or foreign government, or any other Governmental Authorities in those jurisdiction the Laws of which are now applicable to the business or products of the Corporation on the Subsidiaries, except for violations or defaults that, individually or in the aggregate, have not had and would not reasonably be expected to result in a Material Adverse Effect. Neither the Corporation nor the Subsidiaries has received any written notice or communication from any Governmental Authorities alleging non-compliance with any applicable Law, rule or regulation, except with respect to non-compliance that, individually or in the aggregate, has not had and would not reasonably be expected to result in a Material Adverse Effect. There are no, and there have not Notes 3 and 5 been any, adverse or negative past performance evaluations or ratings by any Governmental Authorities relating to the business or products of the Corporation or of the Subsidiaries which have been communicated to the Corporation or any of the Subsidiaries.
Business in Compliance with Law. The operation of the Business have been and are now conducted in compliance with, and is not in default or violation of, all Laws, Orders and other requirements applicable to it or by which any of its assets or properties are bound or affected, except where the failure to be in compliance would not have a Material Adverse Effect. The Sellers are not subject to any Order that adversely affects, individually or in the aggregate, the Business, or its operations, properties, assets or condition (financial or otherwise). The Sellers have not received any written notice or to Sellers’ knowledge other communication from any Governmental Authority or other Person regarding any action, alleged, possible or potential breach, violation of or non-compliance with of any such Laws or any Order to which the Sellers, the Business or any of the Purchased Assets is or has been subject.
Business in Compliance with Law. In all material respects, the ----------------------------------- operations of Javanaise Co. have been and are now conducted in compliance with all applicable Laws of each jurisdiction in which Javanaise Co. carries on or has carried on business and Javanaise Co. has not received any notice of any alleged breach of any such Laws. The Governmental Authorizations are all such authorizations required by Javanaise Co. to enable it to carry on its business in compliance with applicable Laws. Such Governmental Authorizations are in full force and effect in accordance with their terms, and there have been no violations thereof and no proceedings are pending or, to the knowledge of the Vendors, threatened, which could result in their revocation or limitation.
