Buyer further understands that this Agreement initially is an offer only and will not become a binding contract until accepted by Seller, and, until executed by Seller, is subject to the possible acceptance by Seller of an offer from another buyer. Buyer grants the Seller’s Broker or, if applicable, Buyer’s Broker, the right for a period of 5 days from the date hereof to obtain an acceptance of this offer by Seller.
BUYER’S OFFER. Buyer agrees that its execution and delivery to Seller of this Agreement constitutes an irrevocable offer to enter the same which may not be withdrawn for a period of ten (10) days after submission to Seller or Seller’s agents. Buyer understands and agrees that this Agreement shall only become binding when fully executed and delivered by Seller or Seller’s agents to Buyer. This Agreement is a binding contract, and defines the respective legal rights and obligations concerning the sale by Seller and purchase by Buyer of the Unit. Buyer understands and agrees that this Agreement is intended to be legally enforceable and binding on Seller and Buyer. If Buyer does not fully understand this Agreement, Buyer should consult an attorney before signing. Before Buyer signs this Agreement, Buyer should read it and the Prospectus carefully.

BUYER’S OFFER. In response to City of Flagstaff Request for Proposals, No. 2011-48, Buyer offers to purchase from Seller those certain parcels of land situated at the southwest and southeast corners of Fourth Street and Route 66, and xxxxxxxxx xxxxxx xx Xxxxxx Xxxxxx and Huntington Drive in the City of Flagstaff, County of Coconino and State of Arizona, which contain thirty-three and one-half (33.5) acres of land described in Exhibit A-1 as parcels A, in Exhibit A-2 as parcel B, and in Exhibit A-3 as parcel D, and collectively shown as parcels A, B, and D in Exhibit A-4 (also depicting parcel C which is not being conveyed to Buyer), attached and made a part of this Agreement, together with all rights, privileges, easements and appurtenances thereto ("Property") at the price and upon the terms and conditions set forth in this Agreement.

BUYER’S OFFER. The Buyer will make the Offer to the Shareholders substantially in the form of and pursuant to the terms of the Offer Letter. Subject to the conditions set forth in the Offer Letter, the Buyer agrees to buy any Shares duly tendered pursuant to and in compliance with the Offer Letter at a price of NLG 12,250 per Share and to perform its other obligations pursuant to the Offer Letter (including announcing on or prior to January 29, 1999 whether the conditions to the Offer set forth as exhibit A to the Offer Letter have been fulfilled or waived). Payment of the purchase price shall be by wire transfer or delivery of other immediately available funds to ABN/AMRO Bank N.V. Maastricht branch (the "Bank"), and such funds shall be disbursed to each of the Selling Shareholders by the Bank. The total amount of the purchase price if all Shares are duly tendered shall equal NLG 98,000,000 in the aggregate.
BUYER’S OFFER. This Offer by BUYER shall be in effect until 5 PM AM/PM on 8/30/2022 . If SELLER does not accept this Offer by such time, the Down Payment deposit(s) under paragraphs 2.1 and/or 2.2 shall be returned by Escrow Agent to BUYER on demand, and BUYER and SELLER shall have no further obligation one to the other.

This Agreement shall be binding on both parties on the date of Seller's acceptance of Buyer's offer or on the date of Buyer's acceptance of Seller's counter-offer, if any, which date shall hereinafter be referred to as the "Execution Date".
