Buyer’s Representation and Warranty. Buyer does hereby represent and warrant to Seller as of the Contract Date and the Closing Date that it is a validly formed corporation under the laws of the State of Illinois; that it is in good standing in the state of its organization and qualified to do business in the State of California; that it is not subject to any involuntary proceeding for the dissolution or liquidation thereof; that it has all requisite authorizations to enter into this Agreement with Seller and to consummate the transactions contemplated hereby; and that the parties executing this Agreement on behalf of Buyer are duly authorized to so do.

Buyer’s Representation and Warranty. Buyer does hereby represent and warrant to Seller that (a) it is duly organized, validly existing and in good standing under the laws of the State of its formation; (b) it has all requisite authorizations to enter into this Agreement with Seller and to consummate the transactions contemplated hereby; and (c) the parties executing this Agreement on behalf of Buyer are duly authorized to so do.

If Buyer does not terminate this Agreement on or before the Inspection Date, Buyer shall be deemed to have represented and warranted to Seller as of the Inspection Date and the Closing Date that Buyer has all requisite authorization to consummate the transactions contemplated hereby.

This Amendment has been duly executed and delivered by Buyer and this Amendment is a valid and legally binding obligation of Buyer, enforceable against it in accordance with its terms, except to the extent that enforcement of the rights and remedies created hereby may be affected by bankruptcy, reorganization, moratorium, insolvency and similar laws of general application affecting the rights and remedies of creditors and by general equity principles.

Buyer’s Representation and Warranty. (a) Buyer represents and warrants to Seller that Buyer has full legal power and authority to enter into and perform this Agreement. This Agreement and all transactions contemplated hereby have been or will be fully authorized on behalf of Buyer, the person or persons executing this Agreement on behalf of Buyer have been duly authorized by all appropriate action of Buyer to execute this Agreement and have been or will be duly authorized to execute such other documents and to take such other action as is necessary or desirable to consummate the transactions contemplated hereby, and such transactions will not result in a violation of any agreement or document under which Buyer is organized or operating, or any other agreement to which Buyer is a party or by which it is bound or subject; and this Agreement, when executed, shall constitute the valid and binding obligation of Buyer.
Buyer’s Representation and Warranty. Buyer represents and warrants to Seller that Buyer has the legal and corporate authority to enter into this Agreement and to purchase the Property. If the representation and warranty of Buyer set forth in this Section 9.a is inaccurate as of the Agreement Date and Seller discovers the inaccuracy prior to the Closing, Seller may terminate this Agreement in accordance with Section 16.
