Buyer's Representations True. The representations and warranties ---------------------------- of Buyer set forth in this Agreement shall be true and correct in all material respects as of the date of this Agreement or any Related Agreement and as of the Closing Date, as though made on and as of the Closing Date, except to the extent that (i) the representation or warranty is expressly limited by its terms to another date and (ii) such representation or warranty is qualified by materiality in which case such representation or warranty shall be true and correct in all respects, and Buyer shall have delivered the Buyer Closing Certificate to that effect.
Buyer's Representations True. The representations and warranties made by Buyer herein shall be true and correct in all material respects at the Closing Date except as affected by the transactions contemplated hereby, and Buyer shall have delivered the Buyer Closing Certificate to that effect.
