By ArQule. ARQULE shall conduct the Phase 1 Development Activities (including, without limitation, the filing of an IND and the conduct of any Phase 1 Clinical Trials) set forth in the Phase 1 Development Plan and the Global Development Plan. Notwithstanding the foregoing, DS shall have the option to assume all responsibility for Phase I Development Activities following MTD Achievement. ARQULE shall provide written notice (the “MTD Achievement Notice”) to DS within * (*) days of MTD Achievement and shall continue the Phase 1 Development Activities until the transition of the responsibility for the Phase 1 Development Activities to DS is completed. If DS so elects, DS shall provide ARQULE with written notice of DS’s election within * (*) days of DS’ receipt of the MTD Achievement Notice. DS shall reimburse ARQULE for all costs that ARQULE incurs in connection with the transition of the Phase I Development Activities by ARQULE to DS.

By ArQule. ArQule shall indemnify, defend and hold harmless ARUP and its directors, officers, employees, and agents (the “ARUP Indemnitees”) from and against any and all Claims to the extent resulting from or caused by: (a) breach of this Agreement by ArQule in the performance of its obligations hereunder; (b) the negligence of any ArQule Indemnitee within the course or scope of their employment; or (c) ArQule’s material breach of its warranties or representations under this Agreement; (d) the actual or alleged infringement of any Patents of any Third Party as a result of the use by ARUP of ArQule Background Know-How or ArQule Background Patents in the conduct of the Services in accordance with any Scope of Work; or (e) the actual or alleged infringement of any Intellectual Property of any Third Party as a result of the use by ARUP of the Supplier *** to develop and commercialize the Companion Diagnostic assay in the United States as contemplated by this Agreement, except in each case to the extent that a Claim arises out of or results from the negligent acts or intentional omissions of any ARUP Indemnitee or ARUP’s modification of ArQule IP or ARUP’s breach of its obligations, warranties, or representations under this Agreement.
By ArQule. ArQule hereby agrees to defend, hold harmless and indemnify Kyowa and its agents, directors, officers and employees (the “Kyowa Indemnitees”) from and against any and all any and all Losses incurred by a Kyowa Indemnitee in connection with any and all Third Party claims directly or indirectly arising or resulting from: (a) ArQule’s material breach of its representations, warranties or obligations under this Agreement; (b) any act or omission of any Other Licensees; and each of (a) and (b), except to the extent such Losses arise from: (i) Kyowa’s material breach of its representations, warranties or obligations under this Agreement, or (ii) the gross negligence, recklessness or willful misconduct of an Kyowa Indemnitee.

  • Indemnification for Marketing Materials In addition to the foregoing indemnification, the Fund and the Investment Adviser also, jointly and severally, agree to indemnify and hold harmless each Underwriter, affiliates, directors, officers, employees and agents of each Underwriter, and each person, if any, who controls any Underwriter within the meaning of Section 15 of the 1933 Act or Section 20 of the 1934 Act, against any and all loss, liability, claim, damage and expense described in the indemnity contained in Section 6(a), as limited by the proviso set forth therein, with respect to any sales material.

  • Manufacturing Technology Transfer With respect to each Technology Transfer Product, upon AbbVie’s written request after the Inclusion Date for the Included Target to which such Technology Transfer Product is Directed, Morphic shall effect a full transfer to AbbVie or its designee (which designee may be an Affiliate or a Third Party manufacturer) of all Morphic Know-How and Joint Know-How relating to the then-current process for the Manufacture of such Technology Transfer Product (the “Manufacturing Process”) and to implement the Manufacturing Process at facilities designated by AbbVie (such transfer and implementation, as more fully described in this Section 5.3, the “Manufacturing Technology Transfer”). To assist with the Manufacturing Technology Transfer, Morphic will make its personnel reasonably available to AbbVie during normal business hours for up to [***] FTE hours with respect to each Included Target (in each case, free of charge to AbbVie) to transfer and implement the Manufacturing Process under this Section 5.3. Thereafter, if requested by AbbVie, Morphic shall continue to perform such obligations; provided, that AbbVie will reimburse Morphic for its full-time equivalent (FTE) costs (for clarity, in excess of [***] FTE hours) and any reasonable and verifiable out-of-pocket costs incurred in providing such assistance.   • Clinical Trials The studies, tests and preclinical and clinical trials conducted by or on behalf of, or sponsored by, the Company, or in which the Company has participated, that are described in the Registration Statement, the Time of Sale Disclosure Package or the Prospectus, or the results of which are referred to in the Registration Statement, the Time of Sale Disclosure Package or the Prospectus, were and, if still pending, are being conducted in all material respects in accordance with protocols, procedures and controls pursuant to, where applicable, accepted professional and scientific standards for products or product candidates comparable to those being developed by the Company and all applicable statutes, rules and regulations of the FDA, the EMEA, Health Canada and other comparable drug and medical device (including diagnostic product) regulatory agencies outside of the United States to which they are subject; the descriptions of the results of such studies, tests and trials contained in the Registration Statement, the Time of Sale Disclosure Package or the Prospectus do not contain any misstatement of a material fact or omit a material fact necessary to make such statements not misleading; the Company has no knowledge of any studies, tests or trials not described in the Disclosure Package and the Prospectus the results of which reasonably call into question in any material respect the results of the studies, tests and trials described in the Registration Statement, the Time of Sale Disclosure Package or Prospectus; and the Company has not received any notices or other correspondence from the FDA, EMEA, Health Canada or any other foreign, state or local governmental body exercising comparable authority or any Institutional Review Board or comparable authority requiring or threatening the termination, suspension or material modification of any studies, tests or preclinical or clinical trials conducted by or on behalf of, or sponsored by, the Company or in which the Company has participated, and, to the Company’s knowledge, there are no reasonable grounds for the same. Except as disclosed in the Registration Statement, the Time of Sale Disclosure Package and the Prospectus, there has not been any violation of law or regulation by the Company in its respective product development efforts, submissions or reports to any regulatory authority that could reasonably be expected to require investigation, corrective action or enforcement action.

  • Software License Agreement McDATA agrees that all Licensed Software will be distributed to Customers subject to a Software License Agreement (including warranty statement), along with a McDATA Manual, in a manner which is (a) no less protective of BROCADE's Intellectual Property Rights in the Licensed Software than the form attached hereto as Exhibit D, and (b) legally enforceable in the jurisdictions in which the Licensed Software, as incorporated into the McDATA Products, is distributed.
