By Citizens. Citizens represents and warrants that: Citizens owns or has acquired the necessary rights to provide Citizens Data to Vendor for the sole purpose of delivering the Services; to the best knowledge of Citizens, Citizens Data does not and will not infringe upon any United States or foreign copyright, patent, trade secret, or other proprietary right, or misappropriate any trade secret, of any third-party; and, as of the Effective Date, Citizens is not aware of any third-party claim contesting Citizens’ right and authority to provide Citizens Data hereunder.
