Bypassing Sample Clauses

Bypassing. (a) Subject to 10(b), you acknowledge and agree that while you are the Service Provider on the Platform, and for one (1) year after you cease using the Platform, you will not, outside the Platform, either directly or indirectly, solicit or attempt to solicit any business, work, income or other benefit, from any Parent whom you came to know about, or with whom you provided services to directly or indirectly, by using the Platform. This provision will apply whether or not the Parent or their representative is still active on the Platform.

Bypassing. 1. Bypassing Not Exceeding Effluent Limitations - Xxxxxx ANGB may allow a bypass to occur which does not cause effluent limitations to be exceeded, but only if it also is for essential maintenance to assure efficient operation. These bypasses are not subject to the provisions in paragraph two.
Bypassing. Customers are customers of Learnmate and you will not procure, solicit, canvass, approach, infer, induce or otherwise agree to provide Services to Customers in respect of any one or more lessons outside of Learnmate’s systems, including Learnmate’s booking and payment systems and, to the extent lessons are provided online, Learnmate’s nominated online learning platform. For the avoidance of doubt, this includes providing Services to any Customer outside of Learnmate’s booking system and merchant facilities in return for cash, direct bank transfer or payment by any other means or mechanism to avoid paying Learnmate the fees due to it under this Agreement;‌

Absent an Emergency Condition, the Party scheduling a removal of such facility(ies) from service will use Reasonable Efforts to notify one another and schedule such removal on a date and time mutually acceptable to the Parties. In all circumstances, any Party planning to remove such facility(ies) from service shall use Reasonable Efforts to minimize the effect on the other Parties of such removal.

  • Disconnection Upon termination of this Agreement, Developer and Connecting Transmission Owner will take all appropriate steps to disconnect the Developer’s Large Generating Facility from the New York State Transmission System. All costs required to effectuate such disconnection shall be borne by the terminating Party, unless such termination resulted from the non-terminating Party’s Default of this Agreement or such non-terminating Party otherwise is responsible for these costs under this Agreement.
