Capacity to Carry on Business. KBB has all necessary corporate power, authority and capacity to own its Assets and to carry on its business as presently owned and carried on by it and KBB is duly licensed, registered and qualified as a corporation to do business and is in good standing in each jurisdiction in which the nature of its business makes such qualification necessary.
Capacity to Carry on Business. The Acquired Corporation has all --------------------------------- necessary power, authority and capacity to carry on the business currently carried on by it and to own the assets currently owned by it. The Acquired Corporation has obtained all permits, certificates, approvals, registrations and licenses which are required for the operation of its business as it is presently being conducted, and no violations thereof have been experienced, noted, or recorded, and no proceeding is pending or threatened to revoke or limit any of them.
Capacity to Carry on Business. The Company has all necessary corporate powers and qualifications to own its Assets and to carry on the Business in all jurisdictions in which it carries on the Business.
Capacity to Carry on Business. The Corporation and the Subsidiaries have all necessary corporate powers and qualifications to own their respective Assets and to carry on their respective Businesses as they are now being operated and carried on.
Capacity to Carry on Business. It has the corporate power to own, lease and operate its properties and assets and to carry on its business as it is currently being conducted, and it is duly qualified as a corporation to conduct its business in each jurisdiction where qualification is necessary.

Except as otherwise disclosed to the Purchaser and except to the extent that non-compliance therewith could not reasonably be expected (whether individually or in the aggregate) to have a Material Adverse Effect, (i) Northstar is duly licensed, registered and qualified to do business and to own and lease its assets and properties in each of the Provinces of Canada and is in good standing in all material respects in each jurisdiction in which the nature of its current business make such licensing, registration or qualification, as the case may be, necessary, and (ii) all licences, registrations and qualifications that Northstar requires are valid and subsisting and in good standing in all material respects.

The Purchaser has all necessary corporate power, authority and capacity to own its Assets and to carry on its business as presently owned and carried on by it and the Purchaser is duly licensed, registered and qualified as a corporation to do business and is in good standing in each jurisdiction in which the nature of its business makes such qualification necessary.
Capacity to Carry on Business. Evanachan Alaska has all necessary corporate power to hold legal title to the Block B Mining Claims, and to carry on the business of mining in Alaska.
Capacity to Carry on Business. MxXxxx Capital has all necessary corporate power and qualification to own its assets and to carry on its business in all jurisdictions in which it carries on business.
Capacity to Carry on Business. The Vendor has all necessary corporate power, authority and capacity to own its property and assets to carry on the Business as presently owned and carried on by it, and the Vendor is duly licensed, registered and qualified as a corporation to do business and is in good standing in Malta and all such licenses, registrations and qualifications are valid and subsisting and in good standing and none of them contains any burdensome term, provision, condition or limitation which has or may have an adverse effect on the Purchased Assets.
