Capacity to Carry on Business. The Acquired Corporation has all --------------------------------- necessary power, authority and capacity to carry on the business currently carried on by it and to own the assets currently owned by it. The Acquired Corporation has obtained all permits, certificates, approvals, registrations and licenses which are required for the operation of its business as it is presently being conducted, and no violations thereof have been experienced, noted, or recorded, and no proceeding is pending or threatened to revoke or limit any of them.
