Current Business means and include: providing clinical testing information services for the diagnosis, monitoring, and treatment of disease; providing clinical laboratory management services; providing medical informatics services (i.e., the statistical analysis of medical information) and consulting services based on such analysis; providing data analysis, medical information services, and database management services for the health care industry; providing clinical testing information services in support of clinical trials, and clinical testing products for use in clinical trials; providing services of storage, retrieval, and communication of medical information via interactive computer networks; providing to managed care organizations, hospitals, employers, and other institutional healthcare providers access to a network of clinical diagnostic laboratories providing services of processing requests for diagnostic tests, performing tests, reporting test results, and paying claims to network laboratories; providing quality and utilization management; providing consolidated chronological reports in graphical and/or numerical form, representing the results of clinical diagnostic tests performed on individual patients and groups of patients over monitored periods of time, together with analysis of the results; and manufacturing and selling clinical diagnostic assay kits, apparatus, and reagents.
Current Business means the bicycle sharing business, electric bicycle sharing business, taxi booking business, ride-sharing business, electric two-▇▇▇▇▇▇▇ rental/sale business and other services provided through Hellobike “哈啰出行” App, including the operation, maintenance, R&D and related business activities thereof, in which the Group Companies are engaged in by using various technical measures such as QR code scanning, Bluetooth, other internet-based methods, and similar or alternative new methods and technologies that may appear in the future. The bicycle sharing business and electric bicycle sharing business within the preceding sentence shall include (i) operating shared bicycle without docking facilities under the credit-based deposit-free operation model (supplemented by the deposit-required operation mode if the credit-based deposit-free operation model is not feasible) based on the credit system designated by Antfin and (ii) the non-pile operation of the shared bicycle with docking facilities entrusted by the third party or Youon Technology.
Current Business means all business activities of the Sellers to provide, market, sell or distribute digital performance marketing and online performance advertising services through an affiliate network, as conducted by the Sellers at any time prior to the Closing. “Data Protection Laws” means all applicable Laws and published privacy policies and internal privacy policies and guidelines relating to privacy, the processing of Personal Data, data protection and data security, including with respect to the collection, storage, transmission, transfer (including cross-border transfers), disclosure and use of Personal Data (including that of employees, contractors and third parties) including but not limited to Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of Personal Data and on the free movement of such data, and repealing Directive 95/46/EC (“GDPR”) and the California Consumer Privacy Act of 2018 (“CCPA”) as amended by the California Privacy Rights Act of 2020 (“CPRA”). “Date of the Balance Sheet” means December 31, 2022. “Dating Category” means the category in which the primary activity of the applicable consumer is using internet-based services or websites to find and establish romantic or sexual relationships with other individuals, including dating applications, services or websites in which consumers create a personal profile and the submission of billing information to use such applications, services or website anywhere worldwide. “Dating Revenue” means revenue earned in the Dating Category, except revenue earned from “mainstream” advertisers. For this purpose, all advertisers in the Dating Category shall be considered not to be “mainstream” advertisers, unless (x) agreed in advance in good faith between any Seller and the Purchaser or (y) set forth on Annex 1.2. Current Business means the principal business in which the Company is engaged as of the date hereof.
