Capital Structure of Buyer, Buyer Parent and Buyer Parent GP. (a) Section 6.10(a) of the Buyer Disclosure Schedule sets forth (i) the authorized Capital Stock of Buyer, Buyer Parent and Buyer Parent GP and (ii) the number of shares, limited partnership interests and membership interests of each class or series of Capital Stock of Buyer, Buyer Parent and Buyer Parent GP, respectively, that are issued and outstanding, together with the registered holder thereof, in each case, as of the date hereof. Except as set forth in Section 6.10(a) of the Buyer Disclosure Schedule, there is no Capital Stock of Buyer, Buyer Parent or Buyer Parent GP issued and outstanding as of the date hereof, as applicable.
