CAPITALIZATION AND OPERATIONS OF THE SUBSIDIARY. The Parent shall have a minimum equity capitalization at the Closing Date of at least $10,000,000 U.S., which shall be reflected on a balance sheet of a date not more than 5 business days prior to the Closing Date and certified as true and accurate by the Parent as of the Closing Date. Parent will cause Majority Shareholder to be elected a Director and President, Chief Executive Officer, Chief Financial Officer and designated Principal of the Subsidiary and Majority Shareholder shall have an initial three-year employment agreement with the Parent and the Subsidiary, substantially in the form of Annex C hereto. Subsidiary shall continue to be operated as a registered broker-dealer and investment adviser including as an underwriter and distributor of the Fund and shall be the principal operating vehicle for the mutual fund and investment advisory business operations in the U. S. of Parent and Subsidiary and any affiliates thereof.
