Capitalization of Xxxxxxx Xxxxxxx. As of the date of this Agreement, the authorized capital stock of Xxxxxxx Xxxxxxx consists of 300,000 shares of Common Stock, no par value (the "Xxxxxxx Xxxxxxx Common Stock") of which 178,095 shares are outstanding and 10,000 shares of Preferred Stock $100 par value (the "Preferred Stock") of which 1,700 shares are outstanding. As of the date of this Agreement, the authorized capital stock of SPG consists of 100,000 shares of Common Stock, no par value ("SPG Common Stock") of which 8,628 is outstanding. Schedule 2.2 contains a list of all Shareholders of Xxxxxxx ------------ Xxxxxxx of record, and accurately sets forth the number of shares of Xxxxxxx Xxxxxxx Common Stock held by each such Shareholder on the date hereof. All prior issuance of securities by Xxxxxxx Xxxxxxx and SPG, and all prior repurchases, redemptions or exchanges affecting the outstanding securities of Xxxxxxx Xxxxxxx and SPG, including the Redemption, have complied with all applicable Legal Requirements (as defined below) (including federal and state securities laws), preemptive rights and contractual restrictions and there are no further liabilities of Xxxxxxx Xxxxxxx, SPG or the Primary Shareholders due to the former holders thereof.
