Ceasing to be a Participant. If a Project Participant ceases to be a Participant prior to the end of the Term, then except to the extent that the Project Participant is in default under its Participant Agreement or under this Agreement (in which case the Board in its absolute discretion will determine the consequences for the Project Participant under this Agreement), the Project Participant will continue to participate in the Project and be bound by this Agreement. Ceasing to be a Participant. If a Project Participant that is a Participant at the Commencement Date ceases to be a Participant prior to the end of the Term but does not withdraw from the Project in accordance with clause 6, then the Board, acting reasonably, will determine the consequences for the Project Participant under this Agreement.

  • Termination by Participant Participant may terminate the Agreement as follows:

  • Termination of Service Termination of Service shall mean the Executive's voluntary resignation of service by the Executive or the Bank's discharge of the Executive without cause, prior to the Early Retirement Date (Subparagraph I [K]).

  • TERMINATION FOR CAUSE BY CONTRACTOR 4.06.1 Contractor may terminate its performance under this Agreement only if the City defaults and fails to cure the default after receiving written notice of it. Default by the City occurs if the City fails to perform one or more of its material duties under this Agreement. If a default occurs and Contractor wishes to terminate the Agreement, then Contractor must deliver a written notice to the Director describing the default and the proposed termination date. The date must be at least 30 days after the Director receives the notice. Contractor, at its sole option, may extend the proposed termination date to a later date. If the City cures the default before the proposed termination date, then the proposed termination is ineffective. If the City does not cure the default before the proposed termination date, then Contractor may terminate its performance under this Agreement on the termination date

  • TERMINATION FOR CAUSE BY CITY 4.05.1 If Contractor defaults under this Agreement, the Director may terminate this Agreement after providing Contractor written notice and an opportunity to cure the default as provided below. We may immediately suspend your use of our services if you breach this or any other agreement with us or we have reason to believe there has been or may be an unauthorized use of your account.

  • Calculation of Continuous Service For the purposes of this clause service shall be deemed to be continuous notwithstanding:

  • Eligible Employee For purposes of the SIMPLE 401(k) Plan provisions, any Employee who is entitled to make Elective Deferrals under the terms of the SIMPLE 401(k) Plan.
