Certain Business Relationships With the Company and Its Subsidiaries. Except as described in Section 4(v) of the Disclosure Schedule, none of the Sellers and their Affiliates has been involved in any business arrangement or relationship with the Company within the past twelve (12) months, and none of the Sellers and their Affiliates owns any property or right, tangible or intangible, which is used in the business of the Company.
Certain Business Relationships With the Company and Its Subsidiaries. None of the Sellers and their Affiliates has been involved in any business arrangement or relationship with any of the Company and its Subsidiaries within the past 12 months, and none of the Sellers and their Affiliates owns any asset, tangible or intangible, which is used in the business of any of the Company and its Subsidiaries.
Certain Business Relationships With the Company and Its Subsidiaries. Except as set forth in Section 4(t) of the Disclosure Schedule, no officer, director, employee, shareholder or Affiliate of any Seller, the Company or any Subsidiary is a party to any Contract or involved in any business relationship with the Company or any Subsidiary (other than employment Contracts entered into in the Ordinary Course of Business) (any such Contract, a “Related Party Contract”) or has any ownership interest in any property or right, tangible or intangible, used by the Company or its Subsidiaries.
Certain Business Relationships With the Company and Its Subsidiaries. Neither the Sellers or its Affiliates (excluding for this purpose the Company) own any material asset, tangible or intangible, which is used in the business of, or provides any material service to, the Company.

(a) Except as set forth on Section 3.21 of the Disclosure Schedule, none of Orgenesis Parent or its Subsidiaries, nor to the Knowledge of Orgenesis Parent, any officer, or director of Orgenesis Parent, the Company or any of their Subsidiaries, or any Affiliates of any of the foregoing (other than the Company and its Subsidiaries):

Except as disclosed in Section 2.26 of the Company Disclosure Schedule neither the Company, its Affiliates, members, directors, officers, employees, and shareholders and the Company’s and its Subsidiaries’ members, directors, officers, employees, and shareholders has been involved in any material business arrangement or relationship with the Company or any of its Subsidiaries within the past 12 months, and neither the Company’s, or its Affiliates’, members, directors, officers, employees, and shareholders and the Company’s and its Subsidiaries’ members, directors, officers, employees, and shareholders owns any material asset, tangible or intangible, that is used in the business of the Company or any of its Subsidiaries.

Certain Business Relationships With the Company and Its Subsidiaries. None of the Significant Stockholders and their Affiliates has, or since January 1, 2000 has had, any interest in any asset, tangible or intangible, used in the business of any of the Company and its Subsidiaries or any interest in any business arrangement or relationship with any of the Company and its Subsidiaries. None of the Significant Stockholders and their Affiliates owns, or since January 1, 2000 has owned, an equity interest or any other financial or profit interest in a Person that has (a) had business dealings or a financial interest in any transaction with any of the Company and its Subsidiaries or (b) engaged in competition with any of the Company and its Subsidiaries with respect to any products or services of any of the Company and its Subsidiaries, except, in each such case, for the ownership of less than 1% of the outstanding stock of any publicly traded corporation.

Except as set forth on Schedule 3.24, none of the Sellers or their respective Affiliates is currently involved in any business arrangement or relationship with the Company or any of its Subsidiaries, and none of Sellers and their respective Affiliates owns any asset that is used in the businesses of the Company and its Subsidiaries.
