Certain Injunctive Relief. Due to the important confidentiality concerns of the parties, and for other reasons, the parties will be irreparably damaged in the event that the provisions of Articles X and XIII hereof are not specifically enforced. In the event of a breach or threatened breach of the terms, covenants and/or conditions of either such Article by any of the parties hereto, the other party shall, in addition to any other remedies it may have, be entitled to a temporary or permanent injunction, without showing any actual damage, and/or a decree for specific performance, in accordance with the provisions of such Articles.

Certain Injunctive Relief. Nothing in this Agreement shall limit the rights of any of the Parties to seek in any court of competent jurisdiction: (a) legal or equitable relief in circumstances other than a Disputed Matter; or (b) in any circumstances, such interim relief as may be need to maintain the status quo, to prevent irreversible harm or otherwise protect the subject matter of any Disputed Matter until the matter shall have been finally resolved. Any such interim relief ordered by a court shall not determine or prejudge the substantive issues to be decided by such mediation and/or arbitration. In addition, if a Disputed Matter is submitted to arbitration, and the arbitrators deem themselves to be incompetent to hear any matter brought before them pursuant to Section 6.2, then the Parties may seek relief in any court of competent jurisdiction.

  • Injunctive Relief Warnings 2.1 Commencing one hundred eighty (180) days after the Execution Date, Quinoa shall not sell, offer for sale, ship for sale or otherwise distribute or allow to be distributed in California any Covered Products, unless the sales and distribution of the Covered Products are in full compliance with California Code of Regulations, Title 27, Article 6, Clear and Reasonable Warning Requirements § 25601-25603 (see also: “xxx.X00Xxxxxxxx.xx.xxx.”). Covered Products that were manufactured, packed, or labeled prior to the Execution Date and up to 180 days after the Execution Date shall be permitted to be sold as previously manufactured, packed or labeled. As used in this Settlement Agreement, the term "distributing in California" shall mean to directly ship a Covered Product into California for sale in California or to sell a Covered Product to a distributor that Quinoa knows or has reason to know will sell the Covered Product in California.

  • REMEDIES, OTHER OBLIGATIONS, BREACHES AND INJUNCTIVE RELIEF The remedies provided in this Warrant shall be cumulative and in addition to all other remedies available under this Warrant and the other Transaction Documents, at law or in equity (including a decree of specific performance and/or other injunctive relief), and nothing herein shall limit the right of the Holder to pursue actual damages for any failure by the Company to comply with the terms of this Warrant. Consequently, the Employer will have the right, in addition to any other rights it may have, to obtain injunctive relief to restrain any breach or threatened breach or otherwise to specifically enforce any provision of this Agreement, and the Employer will not be obligated to post bond or other security in seeking such relief.
