Certain Legal Expenses. In the event of any legal proceedings, including without limitation arbitration, between the Company and Executive with respect to any dispute hereunder in which Executive prevails over the Company, the Company shall pay Executive's reasonable legal fees and expenses incurred in connection with such proceedings.
Certain Legal Expenses. Employer shall pay all expenses, including attorney’s fees, incurred by Employee in his defense of the validity or in the enforcement of this Agreement.
Certain Legal Expenses. The Company shall pay directly or reimburse the Executive for all reasonable legal fees and expenses incurred by the Executive in connection with the review, negotiation and execution of this Agreement.

The Company shall pay to Executive all reasonable legal fees and expenses incurred by Executive in contesting or disputing in good faith any termination of employment hereunder that occurs after a Change in Control or in seeking to obtain or enforce any right or benefit provided by this Agreement in connection with Executive's termination of employment hereunder after a Change in Control or in connection with any tax audit or proceeding to the extent attributable to the application of Section 4999 of the Code to any payment or benefit provided hereunder. Such payments shall be made within five (5) business days after delivery of Executive's respective written requests for payment accompanied with such evidence of fees and expenses incurred as the Company reasonably may require.
Certain Legal Expenses. If, pursuant to Section 7(A)(ii) above, the Executive has retained and consulted with an attorney of his own choosing in connection with his consideration of this Agreement, the Company will reimburse the Executive for the attorneys' fees so incurred by the Executive up to, but not exceeding, $2,500.00, and then only for such attorneys' fees as relate solely to the review and execution of this Agreement and subject to receipt by the Company of an appropriately itemized and documented statement of legal services and disbursements (which statement may be redacted to protect matters subject to the attorney-client privilege, but must be sufficiently detailed to satisfy the condition set forth herein regarding the subject matter of such reimbursable services).
Certain Legal Expenses. The Company shall pay to Winston & ---------------------- Xxxxxx, counsel to the Purchasers, at the Closing, from the proceeds of the sale of the Shares, its fees and expenses relating to the negotiation and documentation of this Agreement and the other documents and transactions contemplated hereby in an aggregate amount not to exceed $20,000.
Certain Legal Expenses. The Company will pay or reimburse Executive for the reasonable legal fees and expenses incurred in the review and negotiation of this Agreement. The Company's reimbursement obligation shall not extend to any dispute arising under this Agreement following execution.
Certain Legal Expenses. The Executive has retained and consulted with an attorney of his own choosing in connection with his consideration and execution of this Agreement. The Company agrees to reimburse the Executive up to $2500 for the attorneys' fees incurred by Executive in review of his rights under the Executive Employment Terms, this Agreement and/or his execution of this Agreement, subject to receipt by the Company of a non-itemized but documented statement of legal services showing the amounts incurred by Executive and documented disbursements paid by Executive.
Certain Legal Expenses. The Company shall pay to Xxxxxxx, Calamari and Xxxxxxx, counsel to the Investors, at each Closing, its fees (in an amount not to exceed $15,000 in the aggregate) and expenses with respect to this Agreement and the transactions contemplated hereby.
