Certain Relationships to Company. All material Contracts and material obligations between Company or any Water Subsidiary and any Affiliate of Company or any Water Subsidiary (other than Company and Water Subsidiaries) are described in Schedule 3.19. Schedule 3.19 contains a list of all material services provided to Company or any Water Subsidiary by employees of any Affiliates of Company or any Water Subsidiary (other than Company and Water Subsidiaries). Any assets owned, leased or licensed by the Non-Water Subsidiaries that are necessary to the operation of the business of Company and Water Subsidiaries as currently conducted will be owned, leased or licensed by Company or Water Subsidiaries as of the Closing.
