Common use of Certificate of Secretary Clause in Contracts

Certificate of Secretary. Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Articles of Incorporation, (ii) certifying the bylaws of the Company, (iii) certifying the resolutions of the board of directors of the Company, (vi) certifying the resolutions of the stockholders of the Company and (v) attesting to the incumbency of the officers of the Company.

Certificate of Secretary. Buyer will have received from the corporate secretary Company’s Secretary or another authorized officer or manager of the Company Company, a certificate (i) certifying the Company Company’s Articles of IncorporationOrganization, (ii) certifying the Company’s Operating Agreement, (iii) certifying the bylaws of the Company, (iiiiv) certifying the resolutions of the board of directors managers of the Company, (viv) certifying the resolutions of the stockholders of the Company Members and (vvi) attesting to the incumbency of the officers of the Company.

Certificate of Secretary. Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Articles Company’s certificate of Incorporationincorporation, (ii) certifying the bylaws of the Company, (iii) certifying the resolutions of the board of directors of Company approving the CompanyMerger and Merger Agreement, (viiv) certifying the resolutions of the stockholders of Company approving the Company Merger and Merger Agreement and (v) attesting to the incumbency of the officers of the Company.

Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Articles Company’s certificate of Incorporationincorporation, (ii) certifying the bylaws of the Company, (iii) certifying the resolutions of the board of directors of Company approving the CompanyMerger and Merger Agreement, (viiv) certifying the resolutions of the stockholders of the Company approving the Merger and Merger Agreement and (v) attesting to the incumbency of the officers of the Company.

Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Articles Certificate of IncorporationIncorporation and By-Laws, (ii) certifying the bylaws of the Company, (iii) certifying the resolutions of the board of directors of the Company, (viiii) certifying the resolutions of the stockholders of the Company and (v) attesting to the incumbency of the officers of the Company.

Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Company’s Articles of Incorporation, (ii) certifying the bylaws of the Company, (iii) certifying the resolutions of the board of directors of the CompanyCompany relating to the Merger, (vi) certifying the resolutions of the stockholders of the Company relating to the Merger and (v) attesting to the incumbency of the officers of the Company.

Buyer Company will have received from the corporate secretary of the Company Buyer a certificate (i) certifying the Company Articles Buyer’s certificate of Incorporationincorporation, (ii) certifying the bylaws of the CompanyBylaws, (iii) certifying the resolutions of the board of directors of Buyer approving the CompanyMerger and Merger Agreement, (vi) certifying the resolutions of the stockholders of the Company and (viv) attesting to the incumbency of the officers of the CompanyBuyer.

Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Articles of IncorporationAmendment and Restatement, (ii) certifying the bylaws of the Company, (iii) certifying the resolutions of the board of directors of the Company, (vi) certifying the resolutions of the stockholders of the Company and (v) attesting to the incumbency of the officers of the Company.

Certificate of Secretary. Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Articles Memorandum of IncorporationAssociation, (ii) certifying the bylaws Articles of Association of the Company, (iii) certifying the resolutions of the board of directors of the Company, (vi) certifying the resolutions of the stockholders of the Company and (v) attesting to the incumbency of the officers of the Company.

Certificate of Secretary. Buyer will have received from the corporate secretary of the Company a certificate (i) certifying the Company Articles Certificate of Incorporation, (ii) certifying the bylaws Bylaws of the Company, (iii) certifying the resolutions of the board of directors of the Company, (vi) certifying the resolutions of the stockholders Sellers of the Company and (v) attesting to the incumbency of the officers of the Company.
