End-User accepts full responsibility for using the information products it receives from CSI in a legally acceptable fashion and the consequences of use and/or dissemination of those products. End-User further agrees to put into place reasonable procedures for the fair and equitable use of background information and to secure the confidentiality of private information. End- User certifies that it has in place reasonable procedures designed to comply with all applicable state and federal laws. End-User also certifies that it will retain any information it receives from CSI for a period of five years from the date the report was received. End-User agrees to take precautionary measures to protect the security and dissemination of this information including, for example, restricting terminal access, utilizing passwords to restrict access to terminal devices, and securing access to, and safeguarding the dissemination and destruction of, electronic and hard copy reports. End-User agrees to abide by CSI’s Access Security Requirements.
Certification of Legal Compliance. End-User certifies to Applicant Insight that the information products and/or software solutions it receives will not be used in violation of any applicable federal, state or local laws. End-User accepts full responsibility for complying with all such laws and for using the information products and software solutions it receives from Applicant Insight in a legally acceptable fashion. End-User further accepts full responsibility for any and all consequences of use and/or dissemination of those products and/or software solutions.

  • Legal Compliance Contractor represents and warrants that it shall secure all notices and comply with all applicable laws, ordinances, rules and regulations of any governmental entity in conjunction with the performance of obligations under the Contract. Holdings agrees to clearly designate all Information provided to the Administrative Agent by or on behalf of Holdings which is suitable to make available to Public Lenders. If Holdings has not indicated whether a document or notice delivered pursuant to this Section 5.01 contains Non-Public Information, the Administrative Agent reserves the right to post such document or notice solely on that portion of the Platform designated for Lenders who wish to receive material non-public information with respect to Holdings, its Subsidiaries and their securities;

  • COMPLIANCE AND CERTIFICATION 25.1 Each Party shall comply at its own expense with all Applicable Laws that relate to that Party’s obligations to the other Party under this Agreement.   • Certification of Non-Foreign Status Each Limited Partner or transferee of an Interest or a portion of an Interest from a Limited Partner who or that is admitted to the Partnership in accordance with this Agreement will certify, upon admission to the Partnership and at any other time as the General Partner may request, whether the Limited Partner or transferee is a “United States Person” within the meaning of the Code on forms to be provided by the Partnership, and will notify the Partnership within 30 days of any change in the status of the Limited Partner or transferee.
