Change in Business or Operation of Property. Borrower shall not purchase or own any real property other than the Property and shall not enter into any line of business other than the ownership and operation of the Property, or make any material change in the scope or nature of its business objectives, purposes or operations, or undertake or participate in activities other than the continuance of its present business or otherwise cease to operate the Property as an office property or terminate such business for any reason whatsoever (other than temporary cessation in connection with renovations to the Property).
Change in Business or Operation of Property. Enter into any line of business other than the ownership and operation of the Project, or make any material change in the scope or nature of its business objectives, purposes or operations, or undertake or participate in activities other than the continuance of its present business and activities incidental or related thereto or otherwise cease to operate the Project as a multi-family property or terminate such business for any reason whatsoever (other than temporary cessation in connection with construction or rehabilitation, as appropriate, of the Project).

Borrower will not purchase or own any real property other than the Property and will not enter into any line of business other than the ownership and operation of the Property unless otherwise consented to by Lender in writing, or make any material change in the scope or nature of its business objectives, purposes or operations, or undertake or participate in activities other than the continuance of its present business or otherwise cease to operate the Property as a hotel or terminate such business for any reason whatsoever (other than temporary cessation in connection with renovations to the Property or caused by a Force Majeure Event).

The foregoing shall not preclude Borrower from entering into the 1031 Exchange Transaction documents.

Neither Borrower nor Operating Tenant shall purchase, lease or own any real property other than the Property and shall not enter into any line of business other than the ownership, lease and operation of the Property, or make any material change in the scope or nature of their business objectives, purposes or operations, or undertake or participate in activities other than the continuance of its present business or otherwise cease to operate or lease the Property for use as a hotel and ancillary retail use and other appurtenant and related uses or terminate such business for any reason whatsoever (other than temporary cessation in connection with renovations to the Property or relating to any Casualty or Condemnation).

Borrower shall not permit Owner to purchase or own any real property other than the Property or to enter into any line of business other than the ownership and operation of the Property, or make any material change in the scope or nature of its business objectives, purposes or operations, or undertake or participate in activities other than the continuance of its present business or otherwise cease to operate the Property as an office property or terminate such business for any reason whatsoever (other than temporary cessation in connection with renovations to the Property) or cessation as a result of a casualty or Condemnation or a result of an event of force majeure.
Change in Business or Operation of Property. Borrower shall not enter into any line of business other than the ownership of Senior Mezzanine Loan Borrower. Borrower shall not permit Senior Mezzanine Loan Borrower to own any assets other than the Senior Mezzanine Loan Collateral. Borrower shall not permit Owner to purchase or own any real property other than the Property or to enter into any line of business other than the ownership and operation of the Property, or make any material change in the scope or nature of its business objectives, purposes or operations, or undertake or participate in activities other than the continuance of its present business or otherwise cease to operate the Property as an office property or terminate such business for any reason whatsoever (other than temporary cessation in connection with renovations to the Property).

Borrower shall not permit Owner to purchase or own any real property other than the Property and shall not enter into any line of business other than the ownership, leasing, improvement and operation of the Property, or make any material change in the scope or nature of its business objectives, purposes or operations, or undertake or participate in activities other than the continuance of its present business or otherwise cease to operate the Property as an office property or terminate such business for any reason whatsoever (other than temporary cessation in connection with renovations to the Property). Borrower shall not purchase or own any property or asset other than the Pledged Collateral and shall not enter into any other line of business other than its ownership of the Pledged Collateral, or make any change in the scope or nature of its business objective, purposes or operations, or undertake or participate in activities other than the continuance of its present business or otherwise cease to own the Pledged Collateral or terminate its business.
