Change in Taxing Jurisdiction if before the Relevant Date (as defined in Condition 6) for any Note or Coupon the Issuer shall become subject generally to the taxing jurisdiction of any territory or territories or any authority therein having power to tax other than or in addition to the United Kingdom or any authority therein having power to tax (unless the Trustee otherwise agrees), inform the Trustee thereof forthwith and, forthwith upon the request of the Trustee, enter into an instrument supplemental to this Trust Deed, giving to the Trustee an undertaking or covenant in form and manner satisfactory to the Trustee in terms corresponding to the terms of Condition 6, with, in addition to or (as the case may require) in substitution for the references therein to the United Kingdom or any authority therein having power to tax, reference to that other or additional territory or territories or any authority therein having power to tax and in the event of any such covenant being given the provisions of this Trust Deed shall be read and construed accordingly;

  • Withholding Taxes The Company may withhold from any amounts payable under this Agreement such Federal, state and local taxes as may be required to be withheld pursuant to any applicable law or regulation.

  • Payment; Non-appropriation; Taxes Payment shall be made by County within thirty (30) days of receipt of invoice. It is specifically understood and agreed that in the event no funds or insufficient funds are appropriated by Fort Bend County under this Agreement, Fort Bend County shall notify all necessary parties that this Agreement shall thereafter terminate and be null and void on the last day of the fiscal period for which appropriations were made without penalty, liability or expense to Fort Bend County.   • Continuing Jurisdiction of the Court The Parties agree that, after entry of Judgment, the Court will retain jurisdiction over the Parties, Action, and the Settlement solely for purposes of (i) enforcing this Agreement and/or Judgment, (ii) addressing settlement administration matters, and (iii) addressing such post-Judgment matters as are permitted by law.
