Chief Financial Officer/Company Comptroller. If appointed, the Chief Financial Officer shall keep and maintain, or cause to be kept and maintained, adequate and correct books and records of accounts of the properties and business transactions of the Company, including accounts of its Assets, liabilities, receipts, disbursements, gains, losses, capital, retained earnings, and Units. The books of account shall, at all reasonable times, be open to inspection by any Director or any Member holding an Ownership Percentage of 10% or greater. The Chief Financial Officer shall deposit all moneys and other valuables in the name and to the credit of the Company with such depositories as the Board may be designate. He or she shall disburse Company funds as the Board may order and shall render to the Chief Executive Officer and Directors, whenever they request it, an account of all of his or her transactions as Chief Financial Officer and of the Company’s financial condition and shall have the powers and perform such other duties as the Board or this Agreement may prescribe. In the absence of a Chief Financial Officer the Chief Operating Officer shall fulfill such duties.

  • Chief Financial Officer’s Certificate The Representatives shall have received on the date of this Agreement and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate of the chief financial officer of the Company in the form attached as Exhibit B hereto.
