Choice of law and place of jurisdiction. 20.1 The laws of the Federal Republic of Germany exclusively apply. The application of international law, and in particular the United Nations Convention on Contracts for the International Sale of Goods, is ruled out. 20.2 The purchaser’s place of business is the exclusive place of jurisdiction – including the international place of jurisdiction – for any disputes arising from the contractual relationship. The purchaser is entitled to lodge a complaint at the place of fulfilment of the delivery obligation or at the supplier’s place of business.

In derogation from the 1st sentence hereof, place of jurisdiction shall be vested solely in the courts at the Manufacturer’s respective registered office 1. if the Reseller is a legal merchant, legal entity under public law or special fund under public law and files suit against the Manufacturer, or 2. if the Reseller is not a legal merchant, not a legal entity under public law or a special fund under public law and the Reseller likewise has no general place of jurisdiction located in the Federal Republic of Germany. The 1st and 2nd sentences hereof shall not affect any mandatory provisions of law regarding exclusive places of jurisdiction under the German Code of Civil Procedure [German acronym: ZPO].
