Choice of Law; Choice of Venue. This Agreement shall be governed by, and construes in accordance with, the internal laws of the State of California, without regard to principles of conflicts of law. Choice of Law; Choice of Venue. Any Agreement and these terms and conditions will be governed by the laws of the State of Illinois (except for its choice of law rules). If either BIOLOGOS or CUSTOMER brings a lawsuit or any other action arising out of any Agreement against the other party, such party must file its lawsuit or other action in a state or federal court located in Xxxx County, Illinois. BIOLOGOS and CUSTOMER expressly submit to the exclusive jurisdiction of those courts and consent to venue in those courts, and BIOLOGOS and CUSTOMER consent to extra-territorial service of process on BIOLOGOS and CUSTOMER. In the event of litigation pertaining to any matter covered by any Agreement, each of BIOLOGOS and CUSTOMER hereby agree to waive any right that it may have to a jury trial of any or all issues that may be raised in such litigation. Any action or claim arising under an Agreement or these terms and conditions must be brought within one (1) year from the date that the cause of action or claim arose. Any provision of an Agreement held to be invalid, illegal or unenforceable will be ineffective to the extent of such invalidity, illegality or unenforceability without affecting the validity, legality and enforceability of the remaining provisions hereof.

Any dispute or controversy concerning or relating to this Agreement shall be exclusively resolved in the federal or state courts located in County of Los Angeles, State of California. Each of the parties hereto irrevocably submits to the jurisdiction of the courts of the State of California located in County of Los Angeles and the United States District Court for the Central District of California for the purpose of any suit, action, proceeding or judgment relating to or arising out of this Agreement and the transactions contemplated herein. Service of process in connection with any such suit, action, proceeding or judgment may be served on each party hereto anywhere in the world by the same methods as are specified for the giving of notices under this Agreement. Each of the parties hereto irrevocably consents to the jurisdiction of any such court in any such suit, action or proceeding and the laying venue in such court. Each party hereto further irrevocably waives any objection to the laying of venue of any suit, action or proceeding brought in such courts and irrevocably waives any claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum. Choice of Law; Choice of Venue. This Software License Agreement shall be governed by the laws of the State of New Jersey, without regard to its choice of laws rules. The exclusive venues for any disputes arising from or related to this Software License Agreement shall be in the Superior Court of New Jersey, Somerset County or the United States District Court for the District of New Jersey and you irrevocably consent to personal jurisdiction in those venues.

This Agreement is made and entered into in North Carolina and, to the extent the interpretation of this Agreement is not governed by applicable federal law, shall be interpreted and enforced under and shall be governed by the laws of that state. KIS and Buyer expressly submit to the exclusive jurisdiction of those courts and consent to venue in those courts, and KIS and Buyer consent to extra-territorial service of process on KIS and Buyer. In the event of litigation pertaining to any matter covered by the Contract, each of KIS and Buyer hereby agree to waive any right that it may have to a jury trial of any or all issues that may be raised in such litigation. Nothing contained in the Contract will be construed to limit or waive any rights of KIS under applicable United States federal, state, or local laws. Any provision of the Contract held to be invalid, illegal or unenforceable will be ineffective to the extent of such invalidity, illegality or unenforceability without affecting the validity, legality and enforceability of the remaining provisions hereof.

The laws and jurisdiction of the State of Nebraska, without reference to its conflict of law principles, shall govern any disputes or issues arising out of this Agreement or regarding the terms and conditions of this Agreement. The Parties further agree that they shall be subject to the jurisdiction of the State of Nebraska. If either Party brings against the other Party any proceeding arising out of this Agreement, that Party may bring that proceeding against the other Party only and exclusively in the District Court of Lancaster County, Nebraska, in Lincoln, Nebraska, and each Party hereby submits to the exclusive jurisdiction of that court for purposes of any such proceeding.

In the event of litigation pertaining to any matter covered by the Agreement, each of WESCO and Buyer hereby agree to waive any right that it may have to a jury trial of any or all issues that may be raised in such litigation. Nothing contained in the Agreement will be construed to limit or waive any rights of WESCO under applicable United States federal, state, or local laws. Any provision of the Agreement held to be invalid, illegal or unenforceable will be ineffective to the extent of such invalidity, illegality or unenforceability without affecting the validity, legality and enforceability of the remaining provisions hereof.
