Chỉ Thị. 8.1. Tùy vào Quy Tắc 24.5, Ngân Hàng có quyền, nhưng không có nghĩa vụ, hành động theo bất kỳ các chỉ thị nào có liên quan đến bất kỳ Tài Khoản nào được đưa ra hoặc được xem là được đưa ra bởi Khách Hàng hoặc bất kỳ (những) người có thẩm quyền nào thay mặt cho Khách Hàng theo tài liệu ủy quyền được áp dụng và/hoặc giấy tờ mở tài khoản khác do Khách Hàng ký. Trong trường hợp chỉ thị của Khách Hàng được đưa ra bằng nhiều phương tiện hoặc nhiều kênh thông tin liên lạc khác nhau, Ngân Hàng sẽ hành động theo chỉ thị liên quan được đưa ra theo thỏa thuận ủy quyền về các phương tiện và kênh thông tin liên lạc được áp dụng đó. 8.2. Ngân hàng có quyền từ chối xử lý yêu cầu thanh toán của Khách Hàng trong các trường hợp sau: (a) Khách Hàng không thực hiện các yêu cầu liên quan đến thủ tục thanh toán; lệnh thanh toán không đủ điều kiện, không phù hợp với thông tin được cung cấp trong đơn đăng ký mở tài khoản hoặc không phù hợp với các thỏa thuận giữa Khách Hàng và Ngân Hàng. (b) Số dư khả dụng không đủ hoặc vượt quá hạn mức thấu chi để thực hiện yêu cầu thanh toán. (c) Theo yêu cầu bằng văn bản của cơ quan có thẩm quyền hoặc bằng chứng về các giao dịch rửa tiền, tài trợ khủng bố theo quy định pháp luật về chống rửa tiền. (d) Tài khoản tạm thời bị khóa, bị phong tỏa hoàn toàn hoặc bị đóng, hoặc bị khóa và phong tỏa một phần, và số dư khả dụng không đủ để xử lý các yêu cầu thanh toán hoặc vượt quá giới hạn thấu chi. 8.3. Không giới hạn tính tổng quát của các quy định nói trên, Ngân Hàng được phép và, theo toàn quyền quyết định của mình, có quyền, nhưng không có nghĩa vụ, căn cứ vào hoặc hành động theo bất kỳ chỉ thị nào bằng fax do Khách Hàng đưa ra hoặc do (những) người có thẩm quyền thay mặt cho Khách Hàng đưa ra liên quan đến Tài Khoản và bất kỳ vấn đề nào khác phát sinh từ hoặc liên quan đến các tài liệu ủy quyền, thỏa thuận, hợp đồng và cam kết về Tài Khoản, bao gồm (nhưng không giới hạn ở) việc mở thêm tài khoản và ngưng hoặc chấm dứt bất kỳ hoặc tất cả các Tài Khoản. Khách Hàng bằng văn bản này đồng ý và cam kết một cách không hủy ngang và vô điều kiện với Ngân Hàng như sau:- (a) rằng Ngân Hàng không phải chịu trách nhiệm về bất kỳ tổn thất hoặc thiệt hại nào mà Khách Hàng hoặc bất kỳ người nào khác phải chịu phát sinh từ việc sử dụng các chỉ thị bằng fax trừ khi do lỗi bất cẩn hoặc cố ý của Ngân Hàng hoặc của các viên chức và nhân viên của Ngân Hàng, và rằng Khách Hàng sẽ giữ cho Ngân Hàng không bị thiệt hại bởi và bồi thường toàn bộ và kịp thời cho Ngân Hàng v...

  • Dispositions Not Authorized No Grantor is authorized to sell or otherwise dispose of the Collateral except as set forth in Section 4.1.5 hereof and notwithstanding any course of dealing between any Grantor and the Administrative Agent or other conduct of the Administrative Agent, no authorization to sell or otherwise dispose of the Collateral (except as set forth in Section 4.1.5 hereof) shall be binding upon the Administrative Agent or the Secured Parties unless such authorization is in writing signed by the Administrative Agent with the consent or at the direction of the Required Lenders.

  • Representative Access (A) The state agrees that designated Union Representatives shall have access to state controlled premises where employees are employed. (B) If any area of the state’s premises is otherwise restricted to the public, permission must be requested to enter such area and such permission shall not be unreasonably denied. Access shall be during the regular working hours of the employee and only for the purpose of investigating an employee’s grievance.

  • Multi-Member The Members, or their designees, shall maintain complete and accurate records and books of the Company’s transactions in accordance with generally accepted accounting principles. The Company shall furnish each Member, within seventy-five days after the end of each fiscal year, an annual report of the Company including a balance sheet, a profit and loss statement a capital account statement; and the amount of such Member’s share of the Company’s income, gain, losses, deductions and other relevant items for federal income tax purposes. The Company shall prepare all Federal, State and local income tax and information returns for the Company, and shall cause such tax and information returns to be timely filed. Within seventy-five days after the end of each fiscal year, the Company shall forward to each person who was a Member during the preceding fiscal year a true copy of the Company’s information return filed with the Internal Revenue Service for the preceding fiscal year. All elections required or permitted to be made by the Company under the Internal Revenue Code, and the designation of a tax matters partner pursuant to Section 6231(a)(7) of the Internal Revenue Code for all purposes permitted or required by the Code, shall be made by the Company by the affirmative vote or consent of Members holding a majority of the Members’ Percentage Interests. Upon request, the Company shall furnish to each Member, a current list of the names and addresses of all of the Members of the Company, and any other persons or entities having any financial interest in the Company.

  • Principal Investigator The Research will be supervised by __________________ ("Principal Investigator"). If for any reason the individual is unable to continue to serve as Principal Investigator and a successor acceptable to both the University and the Sponsor is not available, this agreement shall be terminated as provided in Article 9. The Principal Investigator may work with others at the University (“Associates”) in conducting the Research.

  • Services to the Corporation Agent will serve, at the will of the Corporation or under separate contract, if any such contract exists, as a director of the Corporation or as a director, officer or other fiduciary of an affiliate of the Corporation (including any employee benefit plan of the Corporation) faithfully and to the best of his ability so long as he is duly elected and qualified in accordance with the provisions of the Bylaws or other applicable charter documents of the Corporation or such affiliate; provided, however, that Agent may at any time and for any reason resign from such position (subject to any contractual obligation that Agent may have assumed apart from this Agreement) and that the Corporation or any affiliate shall have no obligation under this Agreement to continue Agent in any such position.

  • INITIAL HERE The Student Staff Agreement is a document that helps to determine the nature of the relationship between student staff and the Office of Residential Education. Should new information become available, the Office of Residential Education reserves the right to update the terms of this document and inform all involved parties. The signature below indicates that the student staff member has read, understands, and agrees to the terms of this agreement with the Office of Residential Education & Dining Services.   • Information Concerning the Company i. The undersigned has reviewed a copy of the Form C. With respect to information provided by the Company, the undersigned has relied solely on the information contained in the Form C to make the decision to purchase the Shares. ii. The undersigned understands and accepts that the purchase of the Shares involves various risks, including the risks outlined in the Form C and in this Subscription Agreement. The undersigned represents that it is able to bear any and all loss associated with an investment in the Shares. iii. The undersigned confirms that it is not relying and will not rely on any communication (written or oral) of the Company, Wefunder, or any of their respective affiliates, as investment advice or as a recommendation to purchase the Shares. The undersigned understands that information and explanations related to the terms and conditions of the Shares provided in the Form C or otherwise by the Company, Wefunder or any of their respective affiliates shall not be considered investment advice or a recommendation to purchase the Shares, and that neither the Company, Wefunder nor any of their respective affiliates is acting or has acted as an advisor to the undersigned in deciding to invest in the Shares. The undersigned acknowledges that neither the Company, Wefunder nor any of their respective affiliates have made any representation regarding the proper characterization of the Shares for purposes of determining the undersigned's authority or suitability to invest in the Shares. iv. The undersigned is familiar with the business and financial condition and operations of the Company, all as generally described in the Form C. The undersigned has had access to such information concerning the Company and the Shares as it deems necessary to enable it to make an informed investment decision concerning the purchase of the Shares. v. The undersigned understands that, unless the undersigned notifies the Company in writing to the contrary at or before the Closing, each of the undersigned's representations and warranties contained in this Subscription Agreement will be deemed to have been reaffirmed and confirmed as of the Closing, taking into account all information received by the undersigned. vi. The undersigned acknowledges that the Company has the right in its sole and absolute discretion to abandon this offering at any time prior to the completion of the offering. This Subscription Agreement shall thereafter have no force or effect and the Company shall return any previously paid subscription price of the Shares, without interest thereon, to the undersigned. vii. The undersigned understands that no federal or state agency has passed upon the merits or risks of an investment in the Shares or made any finding or determination concerning the fairness or advisability of this investment. viii. The Undersigned has up to 48 hours before the campaign end date to cancel the purchase and get a full refund.

  • Sponsor The Sponsor is authorized to prepare, or cause to be prepared, execute and deliver on behalf of the Trust, any such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Trust or the Owner Trustee to prepare, file or deliver pursuant to the Basic Documents. Upon written request, the Owner Trustee shall execute and deliver to the Sponsor a limited power of attorney appointing the Sponsor as the Trust’s agent and attorney-in-fact to prepare, or cause to be prepared, execute and deliver any such documents, reports, filings, instruments, certificates and opinions.
