Common use of Closeout Clause in Contracts

Closeout. a) Upon termination in whole or in part, the parties hereto remain responsible for compliance with the requirements in 2 C.F.R. Part 200.344 (Closeout) and 2 C.F.R. Part 200.345 (Post-closeout adjustments and continuing responsibilities). b) This Agreement will not terminate, unless terminated as provided in Section 12, until Closeout is completed consistent with requirements detailed in the Appendices attached hereto, and to the satisfaction of the AGENCY. Such requirements shall include but are not limited to submitting final reports and providing program deliverables and closeout information as requested by AGENCY, County and/or the US Treasury Department or its authorized representatives, and reconciliation of program funding. c) All invoices and requests for reimbursement shall be submitted within 30 days following the end of the project and budget period. d) All un-spent funds must be reimbursed to the AGENCY or the County as appropriate, by the GRANTEE BENEFICIARY by the expiration date. e) This provision shall survive the expiration or termination of this Agreement.
