Common use of Code of Conduct/ Gifts, Entertainment and Travel Clause in Contracts

Code of Conduct/ Gifts, Entertainment and Travel. It is considered to be in conflict with Xxxxx’x interest for its employees or any member of their immediate family to accept gifts, payments, extravagant entertainment, services, or loans in any form from anyone soliciting business, or who may already have established business relations with Xxxxx. Gifts of nominal value and entertainment, meals, and social invitations that are customary and proper under the circumstances and that do not place the recipient under any obligation are acceptable. Any gifts, payment of individual expenses, including, without limitation, trips, or conveyances to Xxxxx employees shall be disclosed in writing to the Xxxxx Ethics and Compliance Group.
