Collection of Invoice Amounts. TRANS-HIGH will bxxx all advertisers for Retail Services and Wholesale Services and any additional services provided pursuant to this Agreement. TRANS-HIGH agrees that it will use reasonable efforts to collect all amounts due from advertisers; provided that TRANS-HIGH does not in any way guarantee collection of such amounts due. GREEN RUSH acknowledges that TRANS-HIGH shall have no liability or other obligation to GREEN RUSH with respect to such uncollected amounts. GREEN RUSH agrees to cooperate with TRANS-HIGH with respect to collections and to use commercially reasonable efforts and take any other actions reasonably requested by TRANS-HIGH to facilitate collections of unpaid accounts. Notwithstanding the foregoing, GREEN RUSH may, upon written notice to TRANS-HIGH, elect to do the billing and collection of Invoice Amounts with respect to specific advertisers, or transactions.

Collection of Invoice Amounts. UOL Media Group will xxxx all advertisers and sponsorship partners for Retail Services and Wholesale Services and, to the extent requested by CMO, for Strategic Transaction Services and any additional services provided pursuant to this Agreement. UOL Media Group agrees that it will use reasonable efforts to collect all amounts due from advertisers and sponsorship partners; provided that UOL Media Group does not in any way guarantee collection of such amounts due. For the avoidance of doubt and subject to the terms and conditions of this Agreement, CMO will pay UOL Media Group for all Service Costs as described in Article II of this Agreement whether or not any advertiser or sponsorship partner pays its Invoice Amount. In the event that any amount due from any advertiser or sponsorship partner remains unpaid for more than 120 days, CMO may request that UOL Media Group refer collection to an outside collection agency. CMO acknowledges that UOL Media Group shall have no liability or other obligation to CMO with respect to such uncollected amounts. CMO agrees to cooperate with UOL Media Group with respect to collections and to use commercially reasonable efforts and take any other actions reasonably requested by UOL Media Group to facilitate collections of unpaid accounts. Notwithstanding the foregoing, CMO may, upon written notice to UOL Media Group, elect to do the billing and collection of Invoice Amounts with respect to specific advertisers, sponsorship partners or transactions.

  • Collection of Items We act only as your agent and we are not responsible for handling items for deposit or collection beyond the exercise of ordinary care. We are not liable for the negligence of any correspondent or for loss in transit, and each correspondent will only be liable for its own negligence. We may send any item for collection. Items drawn on an institution located outside the United States are handled on a collection basis only. You waive any notice of nonpayment, dishonor, or protest regarding items we purchase or receive for credit or collection to your account.   • Application of Insufficient Payments If at any time insufficient funds are received by and available to the Administrative Agent to pay fully all amounts of principal, unreimbursed LC Disbursements, interest and fees then due hereunder, such funds shall be applied (i) first, towards payment of interest and fees then due hereunder, ratably among the parties entitled thereto in accordance with the amounts of interest and fees then due to such parties, and (ii) second, towards payment of principal and unreimbursed LC Disbursements then due hereunder, ratably among the parties entitled thereto in accordance with the amounts of principal and unreimbursed LC Disbursements then due to such parties.

  • Administration of Inventory Borrower shall keep records of its and its Subsidiaries’ Inventory which records shall be complete and accurate and complete in all material respects. Borrower shall furnish to Agent Inventory reports concurrently with the delivery of each Borrowing Base Certificate described in subsection 8.1.4 or more frequently as requested by Agent, which reports will be in such other format and detail as Agent shall request and shall include a current list of all locations of Borrower’s Inventory. Borrower shall conduct a physical inventory no less frequently than annually and shall provide to Agent a report based on each such physical inventory promptly thereafter, together with such supporting information as Agent shall reasonably request.

  • Collection of Income The Custodian shall use reasonable commercial efforts to collect all income and other payments with respect to the Foreign Assets held hereunder to which the Portfolios shall be entitled and shall credit such income, as collected, to the applicable Portfolio. In the event that extraordinary measures are required to collect such income, the Fund and the Custodian shall consult as to such measures and as to the compensation and expenses of the Custodian relating to such measures.

  • Data Collection and Usage The Company and the Employer collect, process and use certain personal information about the Participant, including, but not limited to, the Participant’s name, home address and telephone number, email address, date of birth, social insurance, passport or other identification number, salary, nationality, job title, any Shares or directorships held in the Company, details of all restricted stock units or any other entitlement to Shares or equivalent benefits awarded, canceled, exercised, vested, unvested or outstanding in the Participant’s favor (“Data”), for the legitimate purpose of implementing, administering and managing the Plan. The legal basis, where required, for the processing of Data is the Participant’s consent.

  • Payment of Invoices When applicable pursuant to this Section 4.02, for fees and expenses of the Asset Representations Reviewer that are not paid by the Servicer within thirty (30) days following the receipt of an invoice by the Servicer, the Asset Representations Reviewer will issue invoices to the Issuer at the notices address set forth in Section 10.4 of the Sale and Servicing Agreement and the Issuer shall pay all invoices submitted by the Asset Representations Reviewer via the priority of payments described in Sections 2.8 or 5.4(b) of the Indenture, as applicable, on the Distribution Date following the month in which the invoice was received by the Issuer.

  • Collection of Accounts Receivable At the Closing, the Seller shall deliver to the Purchaser a complete and correct list of the Seller's Total Receivables (the "Total Receivables List") as of the close of business on the day immediately preceding the Closing Date specifying the age of each of the Accounts Receivable, the amount due, name and address of each account debtor on the Total Receivables List (the "Total Account Debtors"). In the event that the Value of the Accounts Receivable shall be less than the Value of the Total Receivables pursuant to Section 1.3.3 hereof, the Seller shall, in addition to the Total Receivables List, deliver to the Purchaser at the Closing a list of all Accounts Receivable to be sold, assigned, transferred and delivered to the Purchaser at the Closing (the "Accounts Receivable List"), specifying the age of each of the Accounts Receivable, the amount due, name and address of each account debtor on the Accounts Receivable List (the "Account Debtors"). Promptly after the Closing, the Seller and the Purchaser shall notify all Total Account Debtors or the Account Debtors, as the case may be, by notice that the Purchaser has purchased the Seller's Accounts Receivable, and shall direct all Account Debtors or Total Account Debtors, as the case may be, to remit directly to the Purchaser payment of all outstanding amounts represented by the Accounts Receivable. The Seller and the Stockholders, jointly and severally, shall remit promptly to the Purchaser in full the amount of any and all payments received by any of them in respect of the Accounts Receivable, without any diminution, offset, deduction or discount.

  • Payment of Invoice A payment by the State shall not prejudice the State's right to object to or question any payment, invoice, or other matter. A payment by the State shall not be construed as acceptance of goods delivered, any part of the services provided, or as approval of any amount invoiced.

  • Location of Inventory Except as set forth in Schedule 4.25, the Inventory of Borrowers and their Subsidiaries is not stored with a bailee, warehouseman, or similar party and is located only at, or in-transit between, the locations identified on Schedule 4.25 to this Agreement (as such Schedule may be updated pursuant to Section 5.14).
