Service Costs definition

Service Costs has the meaning ascribed thereto in Section 3.01.
Service Costs means the aggregate costs [(less any Centre Contribution)] incurred by the Landlord in providing the Services in each Accounting Period together with: VAT that is not recoverable by the Landlord from HM Revenue & Customs; and the costs chargeable under paragraph 1.2.4 of Part 4 of the Schedule;
Service Costs means any amounts paid to the Manager or any of its Affiliates (or any of their respective employees or agents) by a portfolio company or any Person through which the Company invests in a portfolio company for local administration or management services related to such portfolio company or Person that (i) are determined by the Manager, acting in good faith, to be reasonably necessary in order to achieve beneficial legal, tax or regulatory treatment with respect to the relevant portfolio company and (ii) would otherwise be payable to a third party for such services.

Examples of Service Costs in a sentence

  • The Tenant must also pay on demand any sum or sums that the Landlord requires where the Landlord will be obliged to incur any Service Costs and the sums held on account by the Landlord are insufficient to meet those costs.

  • Service Costs incurred in one Accounting Period, if not included in the Service Charge Statement for that Accounting Period for any reason, may be included in the Service Charge Statement for a subsequent Accounting Period.

For the avoidance of doubt, the Service Costs in item (i) above shall be billed to or reimbursed by the Company at cost.
