Commencement and Termination by Expiry. This Agreement, and the licenses granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Clause 8 shall continue in force until the expiration, lapse or invalidation of the last remaining patents issued under the Patents or if such Patents are patent applications under such patents, until they are refused or rejected without a right of appeal.
Commencement and Termination by Expiry. This Agreement, and the licence granted under Clause 2.1 shall come into effect on the Effective Date and, unless terminated earlier in accordance with this Clause 8, shall continue in force and remains in effect until the later of expiration or abandonment of all Valid Claims.

This Agreement, and the licences granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Clause 9, shall continue in force until the later of: the date on which all the IP have expired or been revoked without a right of further appeal; or the tenth (10th) anniversary of the first commercial sale of a Licensed Product in the Territory, and on such date this Agreement, and the licences granted hereunder, shall terminate automatically by expiry.
Commencement and Termination by Expiry. This Agreement, and the licences granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Clause 11, shall continue in force on a country by country basis in the Territory until the latest of:
(a) The date on which all the Licensed Patents have expired or been revoked in that country without a right of further appeal, and
(b) The date on which any Orphan Drug Status for Licensed Product in that country has expired; and
(c) The tenth anniversary of the date of the first commercial sale of Licensed Product in that country by Oncoscience, its Affiliate or sub-licensee or, if that country is part of the European Union, the tenth anniversary of the date of the first commercial sale of the Licensed Product in the European Union by Oncoscience, its Affiliate or sub-licensee; and on such date this Agreement and the licences granted hereunder shall terminate automatically by expiry.
Commencement and Termination by Expiry. This Agreement shall come into effect on the Commencement Date and, unless terminated earlier in accordance with clause 4 of this agreement, shall continue in force until the principal sum has been advanced by the Owner to the Licensee.

Commencement and Termination by Expiry. This Agreement, and the licences granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Clause 8, shall continue in force on a country by country basis until the expiration of Licensee’s obligation to pay royalties hereunder. The license grant under Clause 2.1 shall be effective at all times prior to such expiration and following such expiration of this Agreement Licensee shall have a fully paid-up, non-exclusive license (a) under the Patents, with the right to sub-license through multiple tiers, to develop, manufacture, have manufactured, import, use, offer for sale and sell Licensed Products only in the Field in the Territory; and (b) to use the Know-how, with the right to sub-license through multiple tiers, to develop, manufacture, have manufactured, import, use, offer for sale and sell Licensed Products only in the Field in the Territory.
Commencement and Termination by Expiry. This Agreement, and the licences granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Clause 10 or Clause 11.1.2, the licences granted hereunder shall continue in force on a country by country basis until the later of:
10.1.1 the date on which all the Patents have been abandoned or allowed to lapse or expired or been rejected or revoked without a right of further appeal in the relevant country or territory or been held invalid or unenforceable by a court of competent jurisdiction in a final and non-appealable judgment; and
10.1.2 the tenth (10th) anniversary of the First Commercial Sale of Licensed Products in the relevant country; upon which the licences granted hereunder shall terminate automatically by expiry in such country or territory. This Agreement shall terminate when all of the licences granted hereunder have terminated in all countries and territories within the Territory.
Commencement and Termination by Expiry. This Agreement, and the licences granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Clause 8, shall continue in force on a country by country basis until the later of:
(a) the date on which all the Patents or YNB Patent in a country have expired or been revoked or declared invalid or unenforceable without a right of further appeal, or
(b) the tenth anniversary of the Commencement Date;

(c) shall terminate automatically by expiry and the licence granted under sub-clause 2.1(b) shall become a fully paid-up, royalty-free non-exclusive licence.
Commencement and Termination by Expiry. This Agreement, and the licenses granted hereunder, shall come into effect on the Commencement Date and, unless terminated earlier in accordance with this Article 10, shall continue in force on a country-by-country and Licensed Product-by-Licensed Product basis until the expiration of the last Royalty Term in such country with respect to such Licensed Product expires. On expiration of this Agreement with respect to a particular Licensed Product in a particular country, Avigen’s license in Section 2.1 shall, with respect to that Licensed Product in that country, become a perpetual, irrevocable royalty-free license under the Licensed Know-How.
