Commission Filings and Reports. Any information, documents or reports that the Company is required to file with the Commission pursuant to Section 13 or 15(d) of the Exchange Act must be filed by the Company with the Trustee within 15 days after the same are required to be filed with the Commission. Documents filed by the Company with the Commission via the Electronic Data Gathering, Analysis and Retrieval (XXXXX) system will be deemed to be filed with the Trustee as of the time such documents are filed via XXXXX. If at any time the Company is not subject to the reporting requirements of Section 13 or 15(d) of the Exchange Act, the Company will file all reports, if any, as would be required by the provisions of Section 314(a)(1) of the Trust Indenture Act, with the Trustee.

The Company shall make available all such documents and reports, if and so long as the Notes are listed on the Official List of the Luxembourg Stock Exchange and admitted to trading on the Euro MTF market or are listed on another recognized stock exchange for United Kingdom and Luxembourg tax purposes and the rules of the Luxembourg Stock Exchange or such other securities exchange so require, at the Corporate Trust Office of the Trustee.

Any such document or report that the Company files with the Commission via the Commission’s XXXXX system shall be deemed to be filed with the Trustee for purposes of this Section 6.11 as of the time such documents are filed via the XXXXX system; provided that the Trustee shall have no responsibility to determine whether such filing has occurred. Delivery of the reports and documents described above to the Trustee is for informational purposes only, and the Trustee’s receipt of such shall not constitute constructive notice of any information contained therein or determinable from information contained therein, including the Company’s compliance with any of its covenants hereunder (as to which the Trustee is entitled to conclusively rely on an Officers’ Certificate).
