Common Area Utilities & Maintenance Charge. The Landlord may, on giving not less than 60 days notice (unless implemented at the time of Lease signing), move to a Common Area utilities and maintenance charge in lieu of the separate charges referred to in clauses 7.2, 7.3, and 7.5. Such Common Area Charge (“CAC”), if implemented, will be considered as Additional Rent and will be based on an amount per square foot of the Premises. It shall be approximately equivalent to the average monthly cost, as reasonably determined by the Landlord, of the electrical, VAC and other utilities used by the Tenant. Such CAC will be due and payable monthly without prior demand therefore and without any set-off, abatement (except as expressly stipulated in the Lease) or deduction whatsoever. The Landlord may, on giving not less than 30 days notice, change the CAC based on increased consumption by the Tenant and/or changes in the rates charged by the appropriate utility companies.
